We're actively seeking a talented Director, Assistant Corporate Secretary to join our Corporate Secretary's Office in Newport Beach, CA. This role is on-site in Newport Beach, CA with the flexibility for a hybrid work mode.
As a Director Assistant Corporate Secretary, you'll play a key role in Pacific Life's growth and long-term success by providing governance, legal and compliance support to the Corporate Secretary's Office ("CSO") and across the organization. You will also supervise CSO paralegals on the team.

How you'll help move us forward:

  • Plan, direct, and manage the annual proxy solicitation of PMHC's Members. Direct and oversee responsibilities related to maintenance and use of PMHC's Member data. Collaborate with various reporting constituents of Member data and Corporate Technology on continued analysis and development and enhancement of the Members System.

  • Effectively organize and schedule meetings of the Pacific Mutual Holding Company (PMHC) Members, Audit, and Investment and Finance (l&F) Committees, including preparation and distribution of meeting materials, agendas, minutes, and executive summaries.

  • Personally attend and take minutes at meetings of the Members of PMHC, the Board Audit and l&F Committees, and the domestic captive entities.

  • Participate in planning for and execution of the Board Offsite Meeting.

  • Oversee the coordination of the Board and Committee meetings, materials distribution, and communications for the Pacific Life reinsurance global entities.

  • Direct and oversee support staff in the execution of corporate regulatory filings, compliance policies, transactions, and other corporate legal matters as required or requested.

  • Direct and oversee support staff on the development, implementation, and documentation of procedures for retrieval and reporting, and corporate records and data.

  • Oversee the Shareholder and Board of Directors meetings and matters of Pacific Life Insurance Company, and its subsidiaries and affiliated companies.

  • Routinely interact and communicate with Company directors and senior management, state and federal regulators, external auditors, and internal and external counsel.

  • Oversee, manage and participate in ongoing or special projects as needed.


The experience you bring:

  • Minimum of 8 years of relevant work experience in a legal setting (law firm or in house) preferred.

  • Minimum of 5 years leading a team

  • College degree and paralegal certificate.

  • Working knowledge of corporate and board governance, U.S. and international.

  • An enthusiastic self-starter with excellent analytical, written, and verbal communication skills, acute attention to detail and exceptional organizational, time and project management skills.

  • Demonstrated experience interfacing with senior executives, Board members, and key stakeholders on governance, strategic and organizational matters.

  • A team player with strong collaboration skills, emotional intelligence, and the ability to effectively coach and leverage team and internal resources.

  • An approachable professional with sound judgment and decision-making skills, an appropriate sense of urgency and the ability to function effectively, and calmly in a fast-paced, and dynamic environment.

  • Proficient in the use of Microsoft Office software applications and Adobe.

  • Experience in legal research, entity maintenance, board portals and other research, data, document, and records management software applications.

  • Occasional travel (2-3 times/yr)

Base Pay Range:

The base pay range noted represents the company's good faith minimum and maximum range for this role at the time of posting. The actual compensation offered to a candidate will be dependent upon several factors, including but not limited to experience, qualifications and geographic location. Also, most employees are eligible for additional incentive pay.

$184,680.00 - $225,720.00
