The services portfolio includes service for commercial and industrial rollup doors, pedestrian doors, commercial storefronts, ADA compliance, FDA compliance, access control, hangar doors, fire inspection & compliance, dock levelers, hydraulic equipment, dock seals & shelters. The company also provides commercial specialty door products and repairs including glass replacement, high speed doors, low energy operators, cold storage doors, roof hatches and floor doors, drive thru restaurant windows, and specialty doors. Vortex is owned by Warren Equity Partners - an equity group founded in 2015 to invest in companies that provide mission-critical products and services to the infrastructure market. Warren Equity has over 4.4BN equity under management, a portfolio of over 30 platform companies with over 200 add-on acquisitions, and 90% of the companies that they back are family owned or owner operated.

To accelerate achievement of the Vortex company vision to be nationally recognized as the highest quality and most customer-centric commercial and industrial door services company, Vortex seeks to hire a Vice President of Corporate Development (Mergers and Acquisition) to lead all aspects of the Merger, Acquisition, Partnership and Investment life cycles. This includes strategy development, the pre-close deal cycle, and any post-close integration activities as appropriate. The Vice President of Corporate Development will report directly to the CEO and be an integral part of the Company's strategy development and execution working closely with seller and buyer entities, third-party advisors and internal functional and business leaders to drive inorganic growth and execute on the Company's strategic vision.

Specifically, this leader will be responsible for:

• Developing an acquisition and partnership strategy in collaboration with the extended Vortex leadership team and equity group.

• Growing and managing the pipeline of prospective acquisitions and/or partnerships.

• Understanding, assessing, and determining feasibility & alignment of targets to the Company's growth strategy.

• Facilitating communication with internal and external stakeholders involved in all aspects of the deal cycle.

• Managing target companies throughout the deal cycle, from origination through close.

• Assisting the program management team with integration of targets post-close.

• Continuously expanding their knowledge of all elements within the deal cycle.

• Participating in company reviews with investor groups.

Requirements

Origination

Pipeline Management - Cultivate a pipeline of prospective targets via various channels - referrals, process-led, search firms, as appropriate. Ensure all data is accurately captured in CRM, with relevant follow-ups and next steps logged.

Upstream Engagement - Lead meetings with third-party Acquisition Search partner and provide input on outbound/target company profiles. Partner with Company leaders on their referrals to understand merits of target companies and engage with investment bankers and other sell-side advisors as they lead their clients through the sale process. Represent Company by coordinating activities for both parties and communicating to the sell-side advisors on Company's behalf.

Transaction Analysis & Rationale - Provide analysis on merits of prospective companies. Review and analyze CIMs, company data, etc. Review all deals based on strategic fit and partner fit of target company. Align targets to overall growth strategy of the business.

Seller Interaction - Lead introductory and pre-LOI meetings, along with relevant conversations with business owners and their team members (updates on process, coordination of meetings, flashing valuation, data requests, etc.). Negotiate LOIs, as appropriate.

Due Diligence

Data Management - manage flow of incoming data; organize and circulate relevant information with internal team members and Warren Equity Partners; ensure completion of requests. Partner with providers as appropriate.

Data Analysis - lead the evaluation of each acquisition, including preparing a pro forma financial analysis and developing a proposed transaction structure and valuation that meets the seller's, ATI's, and WEP's needs.

Workstream Management - facilitate meetings and interactions with third party advisors and with sellers, as necessary. Document notes, provide input and follow-up on action items as appropriate. Prepare and maintain daily call and activity tracking systems.

Private Equity Sponsor Liaison - work in unison with Warren Equity Partners, the Vortex owner, investment team on all requested activities, such as data management, funds flow, financing efforts, business diligence and other diligence items. Coordinate with Warren Equity Partners on material preparation and transaction underwrite, including high level financial modeling. Expectation is that all M&A activity is handled by Company with escalation process to Warren on critical items.

Integration Preparation & Execution - prepare the organization for post-close. Lead weekly meetings with functional leaders and target company stakeholders. Prepare meeting agendas, facilitate discussion, distribute summary notes and takeaways, and make appropriate updates to all parties. Work in coordination with Warren Equity's Operations Team to facilitate integration post-close.

Deal Negotiation - Represent Company on relevant deal matters, and engage/negotiate with owners towards integrative outcomes, as appropriate (purchase agreements, employment agreements, misc. deal terms).

Process Management - Conduct postmortems on acquisitions in terms of both integrations and value creation to refine the M&A process

Required Experience/Education/Training/Certifications: To perform this job successfully, an individual must possess the outlined experience level, education, training, minimum years of experience, product, or industry knowledge plus any certifications to be considered.

o Bachelor's Degree or higher education in Business or related field required.

o More than 7 years' experience within M&A or private equity

Knowledge and Skills

• Highly competent working with financial data.

• Demonstrated ability to create investor presentations.

• Ability to develop strong interpersonal relationships.

• Excellent verbal and written communication skills.

• Experience in valuation, deal structuring, and due diligence.

• A deal quarterback with the ability to run multiple deal processes concurrently.

• A proven track record of successful diligence and deal execution.

• Experience with services-oriented businesses is preferred.

. Work is performed in an office environment and requires the ability to operate standard office equipment and keyboards. Must have the ability to walk short distances.
