LEGAL MANAGER

The Legal Manager will serve as the key guardian of the organization’s legal and compliance framework, providing comprehensive oversight and strategic guidance on all legal matters. This role encompasses managing relationships with corporate attorneys, external law firms, and specialized legal consultants to ensure expert counsel is available for every aspect of the business. The Legal Manager will oversee the end-to-end contract lifecycle, safeguard intellectual property rights, and provide proactive legal support for marketing initiatives and business operations.

In addition, the Legal Manager will play a critical role in monitoring and mitigating legal risks, managing disputes and litigation, and ensuring full compliance with all applicable laws, regulations, and industry standards. By collaborating closely with internal stakeholders across departments, this position will align legal strategies with organizational objectives, foster a culture of ethical business practices, and maintain the highest standards of corporate governance. The ideal candidate will bring both strategic insight and detail-oriented execution to protect the company’s interests while supporting sustainable business growth.

Your responsibilities will be:

  • Direct and maintain strategic relationships with external law firms and consultants, ensuring alignment with organizational objectives and the efficient resolution of legal matters.
  • Deploy and manage a centralized digital contract management platform (WEBDOX) to facilitate seamless access, review, and approval of contracts by all stakeholders.
  • Integrate electronic signature capabilities into the contract workflow to enhance efficiency and compliance.
  • Lead the end-to-end contract lifecycle within WEBDOX, including review, approval, and electronic execution, engaging all relevant teams and management.
  • Oversee a broad spectrum of agreements, including NDAs, broker and distributor agreements, supplier and vendor contracts, independent contractor agreements, merchandising agreements, consultant engagements, and other corporate contracts.
  • Establish and enforce robust policies and procedures governing contract and legal document management in accordance with industry’s best practices.
  • Maintain comprehensive version control and detailed records of all actions taken on each agreement.
  • Coordinate and monitor trademark registrations and renewals, ensuring timely and accurate processing.
  • Review marketing materials, product designs, and related initiatives (e.g., displays, labels) for compliance with copyright and intellectual property regulations.
  • Provide thorough legal oversight for marketing activities, ensuring advertising, promotional content, claims, and terms and conditions adhere to applicable legal and regulatory standards.
  • Manage the review and approval process for sponsorship agreements.
  • Develop strategies, prioritize actions, and oversee the resolution of legal claims and litigation, including bankruptcy proceedings and Prop 65 cases, in collaboration with external counsel and supplier/client legal teams.
  • Monitor, assess, and report compliance breaches and potential exposures, ensuring adherence to organizational and regulatory standards.
  • Design and implement compliance policies and procedures aligned with local and international best practices.
  • Deliver ongoing legal support for compliance-related obligations, ensuring the organization remains fully compliant with all relevant laws and regulations.
  • Bachelor's degree in Law or related field.
  • Minimum of 7 years of experience in legal and compliance management.
  • Extensive experience with contract management systems (experience with WEBDOX is a plus).
  • Strong understanding of intellectual property laws and compliance regulations.
  • Proven track record of managing legal claims and litigation effectively.
  • Excellent interpersonal and communication skills.
  • Ability to work collaboratively with cross-functional teams and manage multiple projects simultaneously.
  • English and Spanish language fluency required.
  • Detail oriented with analytical skills capable of prioritizing and multi-tasking.
  • Strong International Legal & Business background with experience in: Compliance & Legal Advice, and Corporate, Governance.
  • Negotiation & Client relationship skills
  • Outgoing personality focused on teamwork building and results driven. 
  • Strong communication skills, with the ability to interface effectively with individuals at various levels.  

Physical demands:

The employee must regularly lift and move up to 10 pounds and occasionally lift and/or move up to 25 pounds. While performing the duties of this Job, the employee is regularly required to sit; use hands to finger, handle, or feel and talk or hear. The employee is occasionally required to stand; walk; reach with hands and arms and stoop, kneel, crouch, or crawl.
