Job description

Salary: Pay commensurate with experience starting at $100/meeting

This is a per diem position that reports to the Authoritys Board of Directors through its elected Secretary, and takes
instructions and guidance from the Board Secretary, or, in his/her absence, the Board Chair.
The duties are to:
1. Attend the monthly meetings of the Board of Directors, and any special meetings they may call.
2. Take minutes at those meetings that accurately and concisely record any actions taken by the Board.
3. Take and record roll calls to establish a quorum and of those Board motions where roll call is used to record
individual Board members votes.
4. Take and record by number all ayes, nays, and abstention votes on any Board motions where such voting
method is used by the Board.
5. Write draft minutes and email them with a DRAFT watermark within three days to the Secretary of the Board for
his/her review, and make any changes, if so instructed by the Secretary.
6. Once the draft minutes are authorized by the Secretary, email them to the Board members, Executive Director
and Management Team.
7. At the Board meeting where draft minutes are reviewed, record any corrections or amendments made by the
Board, and correct the draft with a strikethrough of corrected words and an underline of new wording.
8. Remove the draft watermark, and email the Board-approved minutes to the Staff member responsible for
posting them.
The position requires an ability to write clearly, a basic understanding of Board functions, a respect for Board members,
the Management Team and any visitors. The Recording Secretary is a neutral position, that is, one must be comfortable
to be a neutral bystander while those responsible for decision-making debate and grapple with issues.
