Job description

Overview
The Corporate Development Associate is a member of the Corporate Development and Strategy team at Cotiviti. This person will be responsible for evaluating strategic acquisitions for Cotiviti, as well as supporting end-to-end M&A execution and corporate development initiatives across Cotiviti's portfolio of products. This person will identify and evaluate new opportunities, conduct due diligence, and collaborate with cross-functional teams to execute complex projects. They will also collaborate with senior leaders and stakeholders across the organization to align priorities and communicate progress and outcomes.
Responsibilities
  • Identify and evaluate new strategic acquisition and investment opportunities.
  • Contribute to deal process management, including coordination with legal, accounting, tax and third-party diligence advisors.
  • Conduct commercial, financial and operational due diligence workstreams with internal stakeholders and external advisors.
  • Support detailed financial modeling, valuation and other relevant diligence analyses.
  • Lead diligence discussions with external advisors and target management teams, in collaboration with senior leadership and cross-functional teams.
  • Prepare Board/executive-level materials, including transaction memos (e.g., merits and considerations).
  • Manage data rooms, diligence trackers and transaction process timelines.
  • Perform competitive analyses of current and adjacent markets, other ad-hoc strategic analyses such as whitespace / TAM analyses, buy vs. build, and scenario analyses.
  • Develop deep understanding of Cotiviti's business units and near adjacent markets.
  • Complete all responsibilities as outlined in the annual performance review and/or goal setting.
  • Complete all special projects and other duties as assigned.
  • Must be able to perform duties with or without reasonable accommodation.

Qualifications
  • Bachelor's Degree in Finance, Economics, Business Administration or related degree.
  • 2-4+ years of total experience, including experience in investment banking, private equity, or corporate development experience.
  • Experience leading or supporting M&A transactions from diligence through closing.
  • Strong financial modeling, valuation and analytical skills (e.g., leverage buyouts, accretion / dilution analysis, analysis at various prices, comparable company analysis, discounted cashflow, revenue growth opportunity analyses).
  • Ability to manage multiple priorities and projects in a fast-paced environment.
  • Strong written and verbal communication skills, including ability to synthesize data and concepts to support executive level communications.
  • Proficiency in Microsoft Excel and PowerPoint.

Desired Qualifications
  • Healthcare experience with payer, provider or healthcare data / analytics businesses a strong plus.
  • Prior corporate development, strategy or operating experience a plus.
  • Experience sourcing and maintaining a robust pipeline of potential M&A targets a plus.
  • Strong people-influence skills, especially in a matrixed organization.
  • Demonstrated ability to learn quickly within a new domain.
  • MBA, MPH, or MHA welcomed, but not required.

Base compensation ranges from $95,000 to $125,000 per year. Specific offers are determined by various factors, such as experience, education, skills, certifications, and other business needs.
