Job description

Shumaker seeks a highly motivated Corporate Associate with a minimum of 2 years of corporate transactional experience to join our Corporate Tax & Transactions Service Line in our Toledo office. The ideal candidate will have experience in mergers and acquisitions, strategic transactions, corporate governance, and a broad range of general corporate matters. This includes drafting and negotiating commercial contracts, confidentiality agreements, organizational documents, resolutions and consents, asset and stock purchase agreements, and merger agreements.
Where You'll Work
This position is based in our Toledo office.
What You'll Do
  • Provide strategic legal counsel on a wide variety of complex transactional matters, including corporate transactions, corporate governance, mergers and acquisitions, commercial contracts, and financing arrangements.
  • Draft, review, and negotiate critical documents throughout the entire lifecycle of corporate transactions, including managing deal and closing due diligence. This encompasses M&A transactions, corporate governance, joint ventures, partnerships, and commercial contracts.

What We're Looking For
  • Juris Doctor degree from an ABA accredited law school
  • Admitted to Ohio bar or eligible for admission
  • A minimum of 2 years of corporate experience, demonstrating a strong proficiency in drafting, reviewing, and negotiating complex commercial contracts, along with expertise in managing corporate due diligence for sophisticated transactions and closings
  • Experience with M&A transactions, corporate formation and governance, regulatory compliance, and a wide array of general business transactions
  • Exceptional legal research, writing, and analytical skills, coupled with a proven ability to manage and prioritize multiple complex projects and meet deadlines
  • A proven ability to skillfully manage the entire lifecycle of M&A and other corporate transactions, demonstrating strong attention to detail
  • Demonstrate ability to collaborate effectively with diverse teams of attorneys, paralegals, and staff, while consistently maintaining the highest degree of confidentiality
