Job Summary
The Associate Counsel-Commercial is responsible for favorable completion of commercial transactions and agreements for PSEG to support PSEG's strategic business plan. In this role counsel will act as a trusted advisor to business leaders throughout PSEG on commercial matters. Counsel will be expected to identify and creatively address potential legal issues of concern relating to commercial matters. Counsel will also collaborate with members of the PSEG legal team to provide cross functional support.
Job Responsibilities
  • As Associate Counsel - Commercial, you will work on a wide range of commercial contracting needs for PSEG's various businesses.
  • This position will handle all phases of commercial transactions: negotiation, drafting, execution and interpretation and dispute resolution (in coordination with the Litigation team).
  • Counsel will be expected to work closely with project teams as needed.
  • A key aspect of this position is a demonstrated ability to effectively negotiate complex commercial agreements.
  • The position is highly collaborative with a group of other commercial lawyers handling a variety of commercial contracting needs supporting provision of electric and gas service and nuclear plant operations.

As Associate Counsel-Commercial you will be responsible to:
  • Draft and negotiate commercial agreements to secure favorable terms for PSEG.
  • Agreements include: (i) equipment/material purchase agreements, (ii) construction agreements, (iii) IT outsourcing, licensing and Software as a Service (SAAS) agreements, (iv) HR and benefits related agreements, (v) professional services agreements such as for engineering services, (vi) partnership and joint venture agreements and (vii) energy trading and management agreements.
  • Administration and resolution of legal issues arising in existing commercial relationships, such as change orders, and from time to time in collaboration with our internal litigation team incoming and outgoing pre-litigation claims; and support litigation team on any litigation or mediation on commercial matters.
  • Review contracts per mandatory contract review process and provide practical, risk-based advice and counsel to business teams.
  • Support continuous improvement and updating of form agreements.
  • Prioritize and manage simultaneous legal matters under deadline pressure.
  • Work extensive hours when necessary to complete projects in a timely manner.

Job Specific Qualifications (Required)
  • Juris Doctorate from an accredited law school; strong academic background
  • Minimum of 7 years of professional experience in negotiating commercial contracts
  • Licensed to practice law in New Jersey or other relevant jurisdictions with ability to become licensed (including limited in-house license) in New Jersey
  • Certifications: BAR Licensed Attorney
