Position Overview and Responsibilities

The Company is seeking an experienced Contracts Administrator or Paralegal to join its team. The Contracts Administrator/Paralegal will report directly to the Vice President General Counsel and will be responsible for various legal processes across multiple departments. Our work environment is fast-paced, positive, and stresses results-oriented internal growth.

The core responsibilities for the Contracts Administrator/Paralegal will include the following:

  • Manage intake, review, and lifecycle of Customer and Vendor Master Services Agreements and other commercial contracts and conduct correspondence with all stakeholders regarding contract review items and status of contract requests
  • Manage and own contract queue and prioritize urgent requests as necessary
  • Assist attorneys in composing, drafting, and editing (red-line) agreements and various other documents
  • Manage Customer insurance claims & tender process with internal stakeholders and counsel
  • Manage information flow among internal stakeholders, external parties, and counsel
  • Conduct thorough review of contracts in relation to internal legal thresholds, criteria, risks and independently find solutions for complex, non-standard, and unique contract requests
  • Draft and revise contract wording where appropriate while assessing risk and providing recommendations to stakeholders and counsel with the goal of protecting Protos’ interests
  • Make independent decisions on individual contracts regarding approvals, the need for escalation for further review, including counsel review
  • Escalate to and work closely with internal stakeholders to negotiate commercial terms and obtain approvals for modifications
  • Initiate, prioritize, participate in, complete, and own delivery of ongoing team projects with a goal of an improved, faster, and simpler way of doing things (automation, tracking, new processes, etc.)
  • Support the team in ad hoc research and projects as necessary
  • Coordinate tasks with other departments and act as a point of contact for internal stakeholders
  • Setting up and managing data sites
  • Assisting with regulatory filings, notices
  • Qualifications/registrations to do business and withdrawals; and “Doing business as” filings where different names are utilized for a subsidiary
  • Licensing Requirements for Security Guarding Companies
  • Manage and maintain contract databases
  • Act as the point of contact for other departments for copies of agreements and information regarding the status of contracts
  • Other duties as assigned

Education, Skills, and Experience

  • Bachelor’s of Arts or Science required
  • 5+ years of experience as a Paralegal/Legal Administrator in a corporate legal department or law firm
  • Paralegal certificate a plus
  • Strong P.C./Word Processing skills including M.S. Word, Outlook, PowerPoint, and Excel
  • Able to prioritize in a dynamic, exciting, fast-paced working environment, frequently under urgent deadlines
  • Excellent organizational, problem-solving, and written and verbal communications skills (including spelling and grammar)
  • Self-motivated, proactive, detail-oriented, and excellent time management
  • High level of professionalism/confidentiality and ability to deal courteously and professionally with internal and external clients of all levels
  • Ability to communicate effectively across all levels of the Company while ensuring compliance with set processes and procedures
  • Strong analytical skills with the ability to conduct careful and thoughtful analysis of complex agreements while recognizing potential legal risk
  • Strong customer relations/service experience

Travel

Must be willing and able to travel domestically for conferences and meetings. Travel is expected to be less than 20%. A valid Driver’s License is required.

Compensation

Compensation includes base salary and a discretionary, performance-based year-end bonus. The Company offers a competitive benefits package including medical, dental, vision, disability, 401(k), PTO, etc.
