General Counsel

Position: General Counsel - Real Estate Investment Company**

**Overview:**

This is an opportunity to leverage your legal real estate skills to become an integral part of a growing real estate private equity investment firm serving in the capacity of General Counsel.

As the General Counsel, you will play a pivotal role in guiding our organization through legal issues, managing legal project components and deadlines, ensuring compliance, and contributing to strategic decision-making, with the invaluable dedicated support of our in-house paralegal and additional support staff as needed.

**Responsibilities:**

1. Legal Real Estate Contract / Deal Management

a. Track and monitor major contract deadlines effectively

b. Manage existing external legal teams efficiently

c. Supervise drafting, review, and negotiation of real estate purchase and sale agreements, loan documents, property management agreements, and joint venture agreements

d. Oversee due diligence processes for potential transactions, identifying legal risks and proposing solutions to mitigate them

e. Manage issues arising in relation to title, survey, zoning, and environmental concerns

1. Internal Contract Management

1. Review and negotiate miscellaneous vendor and service agreements
2. Collaborate with external counsel when necessary

1. Corporate Governance

1. Coordinate with external legal counsel to provide guidance related to corporate structure and governance
2. Supervise timely filing of annual reports for going-concern entities, and dissolutions for
3. Oversee and prepare paperwork for investments in new deals and transfers of ownership with regard to existing deals

1. Dispute Resolution

1. Review and prepare correspondence in pre-litigation disputes
2. Manage and resolve disputes, including litigation, arbitration, and alternative dispute resolution processes
3. Collaborate with external counsel, internal business team, and external property management team to resolve disputes

1. Legal Strategy, Compliance, and Risk Management

1. Provide guidance on legal implications and potential risks associated with business decisions
2. Develop and implement legal strategies aligned with company objectives
3. Ensure compliance with applicable agreements, laws and regulations
