Sr. Associate Attorney - Corporate

Associate Attorney - Corporate
Position Overview
We are seeking a motivated Associate Attorney to join our corporate practice team. The successful candidate will provide practical, business-focused legal advice to clients on a broad range of corporate matters, including M&A, commercial agreements, corporate governance, financing transactions, and strategic alliances. This role combines transactional work, regulatory and compliance counseling, and client-facing advisory services. Admission to the New Jersey Bar is required. Please note this is not an in-house opportunity. 
Key Responsibilities

  • Advise clients on general corporate matters, governance, and ongoing compliance obligations.
  • Lead and support mergers and acquisitions (M&A) transactions, including deal structuring, due diligence, drafting purchase agreements, and coordinating closings.
  • Draft, review and negotiate commercial agreements such as SaaS agreements, licensing, distribution, shareholder agreements, joint venture agreements, and strategic alliance documents.
  • Assist with financing transactions, including drafting credit agreements, security documents, and related transactional documents.
  • Counsel clients on employment-related issues and prepare employment agreements, severance arrangements, and restrictive covenant provisions.
  • Manage corporate restructurings and advise on reorganizations, spin-offs, and related transactional matters.
  • Provide regulatory and compliance advice across industries, ensuring clients meet statutory and contractual obligations.
  • Coordinate cross-functional teams and outside counsel, supervise due diligence, and manage transaction timelines and budgets.
  • Develop and maintain strong client relationships, participate in business development initiatives, and identify opportunities to expand client engagements.
  • Mentor and supervise junior attorneys and paralegals, and contribute to internal knowledge-sharing and process improvements.

Qualifications

  • Juris Doctor (JD) from an accredited law school and admission to the New Jersey Bar (required).
  • 7+ years of experience in corporate law, with substantial transactional exposure (M&A, commercial agreements, or corporate finance preferred).
  • Demonstrated experience with M&A, commercial contracts, SaaS/licensing agreements, shareholder agreements, joint ventures, and strategic alliances.
  • Familiarity with corporate governance, compliance matters, financing transactions, and restructuring or insolvency-related issues.
  • Strong drafting, negotiation, analytical, and project-management skills with attention to detail and commercial awareness.
  • Excellent client communication and interpersonal skills, with the ability to work independently and collaboratively across teams.
  • Ability to manage multiple matters and priorities, meet deadlines, and maintain high-quality work product under pressure.
