Corporate Operations Compliance Manager

Job Location:  Morrisville, NC 27560

ACT Power Service's legal team oversees all contractual and governance operations of the company. The Legal Operations Manager will provide day to day support to the General Counsel, leading and participating in legal reviews, contract management, corporate governance compliance, and regulatory compliance management. The role is fast paced and requires routine interaction with a diverse group of internal and external stakeholders. 

Responsibilities

Support General Counsel within a broad range of legal and compliance activities

  • Interface with other departments to gather required records to ensure compliance with corporate governance and regulatory compliance
  • Corporate ESG requirements
  • Prevailing wage reviews and documentation 
  • Provide contract compliance reports and deliverables to both internal and external stakeholders 
  • Draft procedures, training, and other supporting documents to ensure larger organization understands compliance requirements 
  • Provide legal and compliance support for other departments by fielding questions, performing reviews, and providing training 
  • Support operating departments associated with NERC compliance, environmental compliance, and OSHA compliance and serve as interface with associated matters to legal team 

IRA/Prevailing Wage, Compliance Lead

  • Track all company actions and reporting to ensure compliance with the IRA and report on compliance to both internal and external stakeholders
  • Support payroll and operations team to ensure prevailing wage standards are met
  • Track actions taken by payroll, operations, and accounting to ensure efficient and consistent execution of maintenance in accordance with the IRA
  • Support GC in review and negotiation of contracts, subcontracts, and supply agreements to ensure contractual requirements of IRA are continuously met

Contract Management

  • Interface with other departments to gather required records to ensure compliance with corporate governance and regulatory compliance
  • Perform compliance reviews of contracts, subcontracts, and supply agreements for Terms and Conditions. Identify acceptability of identified terms or provide recommendations for remedial drafting
  • Support commercial and operations team in contract execution

Qualifications:

  • JD preferred
  • 2-5 years' experience reviewing regulations, contracts, and/or corporate governance documents 
  • Prevailing wage and/or Inflation Reduction ACT (IRA) experience 

Physical Requirements/Work Environment:

  • Ability to work at a computer workstation for extended periods (up to 8 hours per day).
  • Manual dexterity to operate a keyboard, mouse, and other standard office equipment.
