Position Overview

A privately held, small to mid-sized real estate investment firm and property management company is conducting a confidential search for a seasoned General Counsel to lead and oversee all legal functions across two affiliated entities. This role represents a key member of the leadership team and will serve as a strategic advisor to executive management, while also managing the day-to-day legal operations. The ideal candidate brings deep expertise in real estate, property management and corporate law along with the ability to thrive in a dynamic, entrepreneurial environment. This individual will combine their strong legal acumen with practical business judgment. The General Counsel will also be responsible for the full spectrum of legal affairs, excluding litigation, but including corporate governance, regulatory compliance and all investor-related matters.

This role requires a highly skilled legal professional who can transition between high-level strategy and execution. This is a rare opportunity to join a growing and entrepreneurial real estate company in a high-impact role. The General Counsel will be an instrumental part in shaping the company’s legal infrastructure, mitigating risk and driving growth.

Primary Responsibilities

• Serve as the principal legal advisor to executive leadership team, providing strategic counsel on all legal, regulatory and business risk

• Oversee and manage the legal function across two entities, aligning legal strategy with business and growth objectives

• Structure, draft and negotiate complex real estate and commercial agreements including: letters of intent, purchase and sale agreements and vendor, service and operational contracts

• Lead all aspects of corporate governance and entity management including: formation, structuring and dissolution of entities, cap table management and ownership tracking

• Draft and maintain key investment and governance documents like: operating agreements, private placement memorandums (PPMs) and subscription agreements

• Oversee all licensing, permitting and regulatory compliance requirements across various states

• Direct the establishment and maintenance of state-level registrations, including tax and unemployment accounts for newly acquired or developed properties

• Manage RASI filings and all related compliance obligations

• Design and lead internal audit processes to evaluate legal and regulatory risk

• Provide legal oversight for acquisitions, dispositions and asset management activities

• Serve as a primary legal liaison for investor relations, addressing inquiries and supporting capital formation initiatives

• Guide enterprise-wide compliance and governance practices, including external communications and regulatory positioning

Preferred Qualifications

• Juris Doctor (JD) from an accredited law school

• Active license to practice law in the State of Texas

• 7-10 years of legal experience, with a strong concentration in real estate, property management and corporate business law

• Demonstrated experience supporting real estate syndications, investment structures and capital raising activities

• Deep expertise in drafting and negotiating legal agreements

• Strong understanding of regulatory frameworks impacting real estate ownership and operations

• Proven ability to operate independently as senior leader while managing multiple priorities

• Prior in-house General Counsel or senior legal leadership experience within a real estate investment or property management company

• Experience supporting multi-family properties greater than 100 units
