This position is separate from the firm's litigation practice and will work directly with the CEO, CFO, and executive team.

Position Summary

The Fractional General Counsel will oversee the legal and regulatory aspects of business operations, including multi-state expansion, employment compliance, handbook development, and corporate governance.

The ideal candidate has experience supporting organizations operating in multiple jurisdictions and has previously managed business and compliance matters in New York, Ohio, Florida, and Massachusetts.

Key ResponsibilitiesMulti-State Expansion
  • Advise on strategic expansion into new states.
  • Coordinate entity registrations and business filings.
  • Manage state compliance requirements.
  • Work with local counsel and regulatory agencies.
  • Maintain state filing and renewal calendars.
Employment & Human Resources
  • Draft and maintain employee handbooks.
  • Develop and review HR policies and procedures.
  • Advise on multi-state employment law issues.
  • Review employment and independent contractor agreements.
  • Provide guidance regarding workplace compliance and employee relations.
Corporate & Regulatory Compliance
  • Advise executive leadership on legal and regulatory matters.
  • Develop internal compliance policies.
  • Conduct legal risk assessments.
  • Monitor changes in state and federal regulations affecting operations.
Finance & Tax Coordination
  • Partner with the CFO on:
    • State tax registrations
    • Business licensing
    • Workers' compensation registrations
    • Unemployment accounts
    • Regulatory filings
Contracts & Business Operations
  • Review and negotiate vendor agreements.
  • Draft and maintain business contracts.
  • Standardize legal templates and operational documents.
  • Support strategic partnerships and growth initiatives.
Executive Advisory
  • Serve as a trusted advisor to executive leadership.
  • Attend executive meetings as requested.
  • Coordinate with outside counsel and specialized legal providers.
  • Support mergers, acquisitions, and other strategic projects.
Preferred Qualifications
  • J.D. from an accredited law school.
  • Active bar license in good standing.
  • 7+ years of corporate, employment, compliance, or general counsel experience.
  • Experience serving as in-house, outside, or fractional General Counsel.
  • Experience supporting multi-state business operations.
  • Prior experience managing business, compliance, and expansion matters in New York, Ohio, Florida, and Massachusetts is strongly preferred.
  • Experience supporting a law firm or professional services organization is a plus.
  • Strong executive presence and business judgment.
