Job description

Direct Counsel represents a prestigious AmLaw firm seeking a Senior Associate or Counsel to join its Executive Compensation & Employee Benefits Practice.

Locations: Charleston, SC | Charlotte, NC | Miami, FL | Nashville, TN | New York, NY | Orange County, CA | Pittsburgh, PA | Raleigh, NC | San Francisco, CA | Seattle, WA

This opportunity is ideal for an attorney with 6+ years of executive compensation and employee benefits experience, particularly involving public company matters, M&A transactions, and private equity deals.

Responsibilities:

  • Advise public and private company clients on executive compensation and employee benefits matters
  • Draft and review executive employment, severance, retention, and change-in-control agreements
  • Counsel clients on equity and non-equity incentive compensation plans
  • Handle employee benefits aspects of mergers, acquisitions, and private equity transactions
  • Advise on tax-qualified and nonqualified retirement plans
  • Assist with public company executive compensation disclosures and governance matters
  • Work directly with clients and manage sophisticated compensation and benefits projects

Qualifications:

  • JD from an accredited law school
  • Active bar admission and good standing
  • 6+ years of executive compensation and employee benefits experience
  • Experience with public company executive compensation disclosures
  • Experience supporting M&A and private equity transactions
  • Knowledge of retirement plans, incentive compensation plans, and executive employment arrangements
  • Strong drafting, analytical, and communication skills
  • Excellent academic credentials and commitment to client service
