Summary of Position:

This position will report to the SVP, General Counsel & Assistant Corporate Secretary. As a key member of the Legal Department, this position will have primary responsibility for subsidiary entity management and governance and will provide support for all corporate governance and Board responsibilities, securities laws compliance and reporting, as well as corporate M&A and financing transactions as needed.


Primary Job Responsibilities:

  • Assist with corporate governance matters with respect to the Board of Directors and/or its committees; Board material preparation; meeting preparation and execution; maintain corporate records.
  • Oversee entity formation and management and all aspects of subsidiary governance, including preparation of governing documents (bylaws, operating agreements), officer and director appointments and preparation of annual consents.
  • Maintain electronic corporate minute books and records.
  • Responsible for tracking Section 16 holdings and preparing and filing Section 16 reports.
  • Assist with annual stockholders' meetings, including preparation of proxy statement and coordinating annual meeting preparation and logistics.
  • Work with General Counsel to administer insider trading responsibilities, trading windows and pre-clearance procedures.
  • Work closely with the Company’s transfer agent and stock plan administrator managing shareholder records and stock transfer activities.
  • Assist with managing outside counsel, including overseeing billing practices.
  • Assist with preparation of D&O questionnaires.
  • Oversee administration of director compensation program and practices.
  • Assist with preparing and managing Board and Committee meeting schedule.
  • Provide general support for the legal department with contracting needs, management of workflows, coordination of documents, obtaining signatures and governance matters.

  • Demonstrated ability to maintain a high standard of confidentiality.
  • Exemplary communication (written and verbal), organization, recordkeeping, analytical and problem-solving skills.
  • High level of diligence and attention to detail.
  • Ability to work in a consultative manner with every level of internal and external customer, including Senior Management.
  • Strong initiative and ability to work independently.
  • Must be willing to participate in a team environment.
  • Proficiency with Microsoft Office 365 applications, including Word, Excel, PowerPoint, Outlook, Teams and SharePoint.

Education & Experience:

  • Bachelor’s degree in related field or expected equivalent in experience required.
  • Paralegal certification strongly preferred.
  • Minimum 5 years of general corporate paralegal experience, including at least 3 years’ experience at a U.S. publicly traded company preferred.

Travel and Schedule Requirements:

  • Work is performed at a CIVI location Tues-Thurs with an option to work remotely on Mondays and Fridays as business needs allow.
  • Schedule: traditional 40-hour workweek or alternative schedule of 9 hour works days M-Thurs and 4-hour workdays Friday.
  • Occasional travel to other CIVI locations may be required.
  • This position requires some on-call work, and deliverables may be required outside of core office hours including on nights and weekends.

Base Pay Range: $106,600 - $112,500
