General Counsel

We are seeking a highly motivated General Counsel to work on Noo-Kayet Investment's Legal Team. Noo-Kayet Investments is the economic development arm of the Port Gamble S'Klallam Tribe, and is organized to provide strategic guidance, business management, analytics, entrepreneurial startup assistance, and funding for new and existing tribal business.

The General Counsel will provide legal services to Noo-Kayet Investments consistent with priorities determined by the CEO, Board of Directors, and Port Gamble S'Klallam Tribal Council.

ESSENTIAL DUTIES AND RESPONSIBILITIES

1. Provide legal advice, information and drafting as requested by the CEO, Board of Directors and Port Gamble S'Klallam Tribal Council.
2. Advising executive members on new laws, existing laws and legal rights that would impact functionality of the business.
3. Overseeing the legal matters of the business as a whole, including acting as the business' legal representative.
4. Lead real property acquisitions, development & dispositions transactions.
5. Lead review and negotiation of lender related documents.
6. Negotiate partnership, operating, asset management, property management and development management agreements.
7. Provide advice on indemnity clauses, guarantees and other provisions, review insurance and indemnity requirements in contracts.

1. Juris Doctor required.
2. Admission to the Washington State Bar required.
3. Admission to the Port Gamble S'Klallam Community Court Bar required.
4. Knowledge of federal Indian law required.
5. Knowledge of and experience with tribal law and tribal communities highly desirable.
6. Experience in substantive business practice, such as: mergers & acquisitions, land into trust, etc.
7. 5-7 years of active experience as General Counsel is highly preferred.
