Job Description

All Pro Capital, LLC seeks an experienced lawyer to join our legal team as General Counsel. For general information about All Pro, see our web page at www.allprocapital.com

The successful candidate will join All Pro’s fast-paced and entrepreneurial culture where support is given to allow our colleagues to discover their full potential. The position will support All Pro’s efforts to document investments in our real estate projects and the deployment of investors’ funds to earn a reasonable return upon the investors’ capital.

Supervises: Legal Assistant and others as assigned

Job Type: Full Time

Work Hours: M-Th 8-5, F 8-1 (and as otherwise required to complete time-sensitive tasks)

Career Level: Senior

Salary: $125,000- $185,00 Salary exempt

Role Summary:

The General Counsel will:

  • Provide a wide range of support to All Pro Capital, LLC. and its affiliates (together the “Company”), assuring that the Company is legally compliant with local, state and federal laws;
  • Identify, report, and resolve potential reputational or legal risks including lawsuits or violations of law;
  • Assist with improving business processes and facilitating transactions to implement the company’s strategy;
  • Manage litigation and related issues involving the Company including managing outside counsel work on such; and
  • Create and modify various documents required for the various projects and products that the Company offers to investors.

Essential Functions:

  • Develop and maintain a strong relationship with personnel and staff to serve as a trusted resource for legal issues that arise.
  • Identify, report, and resolve risks to maximally avoid substantive lawsuits, including actions such as drafting documents in a manner to minimize risks.
  • Advise Company executives and owners on new and existing laws and legal rights that could impact the functionality of the business and improve decision-making.
  • Prepare, review, and negotiate agreements, title transfer and encumbrance documents, and other legal documents on behalf of the company.
  • Provide guidance regarding the hire, review, censure, or termination of employees and trade partners.
  • Deal with external parties such as regulators and external counsel.
  • Negotiate and manage client and vendor contracts as directed.
  • Ensure legal compliance regarding Company real estate and other transactions.
  • Facilitate filings of required documents for the formation, annual reporting, licensing, and other statutory requirements of various entities.
  • Provide oversight and ensure compliance with FinCEN and other anti-money laundering requirements.

Other Duties/Responsibilities:

  • Provide advice on indemnity clauses, guarantees and other provisions and review insurance and indemnity requirements in contracts.
  • Review annually the Company’s E&O insurance coverage.
  • Prepare and review proper documentation for each legal transaction including agreements for all Company trade partners.
  • Prepare loan documents for the Company’s loan programs to ensure compliance with offering documents.
  • Maintain knowledge of the company's legal documents and operations.
  • Provide audits of documentation of various transactions, as directed by the Company.
  • Keep a record of all legal documents and proceedings for the Company.
  • Access company staff and personnel records as needed.
  • Maintain confidentiality.
  • Maintain updated knowledge of laws, regulations, and project issues affecting the Company.
  • Fulfill a wide variety of duties and responsibilities that support every department.
  • Other duties as assigned by the Company.

Minimum Required Education/Credentials/Knowledge/Skills/Abilities:

Education:

Juris Doctor (J.D. degree) from an accredited law school.

Experience:

  • Must be licensed to practice law in the state of Colorado.
  • Four or more years of active experience as General Counsel or equivalent for companies operating in the real estate arena.
  • Five or more years of relevant legal and practical experience in lending, entity formation and governance, and corporate matters.
  • Effectively communicate at all levels of the Company.
  • Excellent organizational skills and attention to detail.
  • Excellent time management skills with a proven ability to meet deadlines.
  • Strong analytical and problem-solving skills.
  • Strong leadership skills.
  • Ability to function well in a high-paced and at times stressful environment.
  • Proficient with Microsoft Office Suite.

Preferred Education/Credentials/Knowledge/Skills/Abilities:

  • In-house legal experience is preferred, but not required.
  • Experience in various business and real estate transactions including M&A, lending, and entity formation and governance.
