Mergers and Acquisitions Manager


Job Summary    

EPS Group, Inc. (EPS Group) seeks a seasoned and dynamic leader for the position of Manager of Mergers and Acquisitions (M&A). This role is pivotal in driving EPS Group's growth strategy by facilitating acquisitions and ensuring seamless integration of acquired entities into the organization. This role offers an exciting opportunity for a strategic thinker with strong leadership skills to drive EPS Group's growth agenda through successful mergers and acquisitions.

Core Responsibilities

  • Aligning M&A efforts within the strategic framework established by the CEO and Board of Directors.
  • Collaborating with the CEO to refine the company's M&A strategy in line with its long-term vision.
  • Conducting market analysis to identify potential opportunities and assess competitor activities.
  • Partnering with contracted M&A Search Consultant to identify and evaluate potential targets.
  • Leading financial analysis, due diligence, and risk assessments for prospective transactions
  • Providing insights from due diligence to optimize acquisition structuring for maximum value and risk mitigation.
  • Developing comprehensive integration plans and leading cross-functional teams for post-merger execution.
  • Identifying and capitalizing on cost synergies, operational efficiencies, and revenue opportunities.
  • Fostering open communication and trust between existing and acquired teams, ensuring a positive employee experience.
  • Monitoring integration progress and reporting regularly to senior management.
  • Cultivating relationships with internal and external stakeholders, including executive leadership and the Board of Directors.
  • Presenting M&A opportunities and strategies to key stakeholders.
  • Ensuring compliance with regulatory requirements and addressing regulatory challenges in collaboration with the legal team.
  • Establishing key performance indicators to measure acquisition success and implementing post-acquisition communication strategies.
  • Mentoring and leading a team involved in M&A activities, fostering a collaborative work environment.
  • May manage up to 10 direct reports.

 

Preferred Skills & Experience

  • Bachelor's degree in a technical discipline, business administration, finance, or a related field.
  • 8-12 years of project management experience within the environmental, engineering, or similar consulting industry sector.
  • 5-8 years of leadership experience, preferably with M&A transaction experience.
  • Experience in the AEC industry and staff management preferred.
  • Proven track record of successfully leading complex integrations and delivering value.
  • Strong financial acumen, negotiation, and communication skills.
  • Ability to build trust with multiple stakeholders and motivate cross-functional teams.
  • In-depth knowledge of legal and regulatory aspects related to M&A.
  • Willingness to travel occasionally (estimated 5-10%).
  • Valid driver's license and automobile insurance.

 

Physical Requirements

  • Required to stand, walk, and sit.
  • Requires a regular and normal range of hearing.
  • Must be able to lift 20 lbs. occasionally.
  • Requires prolonged sitting with 15% of the time spent bending and reaching during office work and prolonged standing with a significant amount of time spent bending, squatting, and reaching when working in the field.
  • Must have manual dexterity sufficient to operate a computer keyboard and calculator.
  • Noise levels are consistent with a standard office environment when working in an office.
  • Able to sit for an extended period while in transit to job sites.
