Learn more at: www.sterlingtonlaw.com/ The Opportunity You will work directly with two market-leading Executive Compensation partners, formerly of Wachtell, Lipton, Rosen & Katz and Simpson Thacher & Bartlett, on sophisticated, transaction-driven compensation work typically seen at the top of the market; within a lean, agile platform that offers significantly more autonomy and flexibility than traditional BigLaw structures. You will play a key role in advising on executive compensation and employee benefits issues that are central to complex corporate transactions and sensitive executive matters. This is a high-visibility role with direct partner interaction and meaningful client exposure. What You'll Do:
  • Advising on executive compensation and employee benefits issues in connection with M&A, private equity transactions, IPOs, joint ventures, and restructurings
  • Counseling founders, CEOs, senior executives, and boards on:
  • Executive employment and retention agreements
  • Equity incentive and carried interest structures
  • Deferred compensation and incentive arrangements
  • Change-in-control and termination protections
  • Performance-based compensation design
  • Providing strategic guidance on tax and ERISA considerations, including equity compensation and nonqualified deferred compensation programs
  • Supporting compensation aspects of complex and often confidential corporate events

  • Ability to operate independently in a fast-paced, high-level advisory environment
