About the Role  
We are seeking a strategic, detail-oriented Business Affairs & Commercial Contracts professional to support the negotiation, drafting, and execution of commercial agreements while partnering closely with business stakeholders to drive revenue and manage risk. This role sits at the intersection of legal, finance, and operations, acting as a trusted advisor throughout the deal lifecycle. This individual must be a licensed attorney.

Responsibilities  
In this role, you’ll take ownership of the following key areas:
 
Business Affairs & Deal Support
  • Serve as a primary business affairs partner to sales, product, partnerships, and leadership teams
  • Advise on and create deal structure, commercial terms, clauses and risk considerations
  • Support negotiations with clients, talent, vendors, and strategic partners
  • Collaborate with finance on revenue share agreements and partnership structures between Voices and our partners
  • Ensure deals align with company strategy, policies, and risk tolerance
  • Support enterprise RFP responses
Commercial Contracts
  • Draft, review, negotiate, and manage a wide range of commercial agreements, including:
    • Client and Talent services agreements
    • Master services agreements (MSAs) and statements of work (SOWs)
    • Licensing, sponsorship, and partnership agreements
    • Vendor and procurement contracts
  • Identify contractual risks and propose practical, business-focused solutions
  • Maintain contract templates, playbooks, and approval workflows
  • Support contract lifecycle management, including amendments and renewals
  • Ensure compliance with licensing restrictions
  • Ensure dataset usage restrictions are clear and enforced
Cross-Functional Collaboration
  • Act as a liaison between legal, finance, sales, and operations
  • Educate internal teams on contract terms, deal risks, and best practices
  • Improve contract processes to increase efficiency and scalability 
 
What You Bring
We’re looking for someone who brings some or all of the following:
  • Juris Doctor (J.D.) degree from an ABA-accredited law school required; active bar membership in either New York or California required
  • 5+ years of experience in business affairs, commercial contracts, legal operations, or a related field
  • Strong experience negotiating and drafting commercial agreements
  • Excellent business judgment with the ability to balance risk and commercial objectives
  • Proven ability to partner with sales and business teams in a fast-paced environment
  • Exceptional communication and stakeholder management skills
  • Experience in media, technology, SaaS, or professional services environments
  • Familiarity with licensing, IP, or talent-related agreements
  • Experience working alongside external counsel
  • Strong understanding of Privacy Laws, and AI Laws by State
 
Compensation  
Hourly Range:  $80.00 – $100.00 USD 
*This role may be structured as either an independent contractor engagement or part-time employment arrangement.
