Job description

About the Role

We are seeking an experienced In-House Counsel to support our North American operations within a dynamic, multi-national organization. This role will serve as a key legal and strategic partner to business leaders, providing practical, solutions-oriented legal guidance across multiple entities in the U.S. and Canada.

Key Responsibilities

  • Review, draft, and negotiate a wide range of commercial agreements, including:
    • Distribution and supply agreements
    • Installation/turnkey and maintenance contracts
    • Software licensing agreements
    • Bid/performance bonds and other securities
    • Tender documentation
  • Identify and mitigate legal and commercial risks across all agreements
  • Develop, standardize, and continuously improve contract templates, best practices, and approval workflows
  • Act as a strategic partner to commercial, operations, and management teams by translating legal risks into actionable business solutions
  • Provide legal support across multiple U.S. entities and one Canadian entity, ensuring alignment with local legal requirements
  • Manage disputes and litigation, including coordination with external counsel and insurance brokers
  • Select and manage external legal advisors to ensure quality and cost-efficiency
  • Support corporate governance activities, including:
    • Board matters
    • Drafting resolutions
    • Statutory filings
    • Acting as Corporate Secretary when required
  • Oversee and coordinate insurance coverage, identifying risk exposures and ensuring appropriate protection
  • Partner with internal stakeholders to increase awareness of legal risk and contract management best practices

Work Environment

  • Standard workload: 4550 hours per week

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school
  • Active member in good standing with a state bar
  • 1012 years of legal experience, including:
    • Commercial contracts
    • Industrial and/or technology-driven environments (hardware + software preferred)
    • International experience, particularly in the U.S. and Canada
  • Prior in-house counsel experience strongly preferred
  • Strong business acumen with the ability to translate complex legal issues into practical, actionable advice
  • Pragmatic, solutions-oriented mindset with excellent stakeholder management skills
