Job description

Job Title: Mid-Level In-House Counsel
Location: Remote
Company: Solera Holdings, LLC
Position Overview:
We are seeking a motivated and detail-oriented In-House Counsel to join our dynamic legal team. The ideal candidate will have have at least 5-7 years of experience in contract drafting and negotiation, managing litigation and providing general legal support to various departments within the company. This person should have in-house experience and be able to demonstrate business acumen, knowledge of corporate structure, and an interest in technology products. This role offers an excellent opportunity to work closely with senior legal staff and gain hands-on experience in a corporate environment.
Key Responsibilities:
Contract Drafting and Review:
Draft, review, and negotiate a variety of contracts, including but not limited to SAAS and product agreements, vendor agreements, service contracts, data acquisition and licensing agreements, and non-disclosure agreements.
Execute process improvements that provide smoother process flows of contracts from sales through operations.
Ensure that contracts comply with company policies and legal requirements.
Support supply chain, sales and various corporate functions in navigating process and procedures of contracting.
Ability to identify risks and rewards of various supply chain products and services.
Advise various corporate functions on enforceability, company options and risks related to potential contract disputes.
Partner with the product development team to draft sales agreements for new products.
Legal Research and Analysis:
Conduct legal research to support contract negotiations and resolve legal issues.
Stay updated on relevant laws, regulations, and industry trends that may impact the company.
Collaboration and Communication:
Work closely with internal stakeholders, including procurement, finance, HR, and operations, to provide legal guidance and support on contract-related matters.
Communicate effectively with external parties during negotiations and discussions.
Able to be flexible and communicate to stakeholders cost risk analysis of opportunities.
An interest and ability to seek out information in order to accurately and effectively resolve conflicts and /or prevent.
Compliance Support:
Assist in developing and implementing compliance programs and policies.
Help ensure adherence to legal and regulatory requirements across the organization.
Understand the principle of the regulatory requirements and provide multiple paths for compliance.
General Legal Support:
Manage and execute process for resolving basic contract disputes, and unpaid fees.
Ability to establish a litigation strategy and manage outside counsel through successful end of litigation.
Provide support for other legal matters as needed, including human resources, litigation support, immigration, licensing, privacy law, employment law.
Assist in the preparation of legal documents and filings.
Provide legal advice, monitor, and resolve pre-litigation business disputes.
Help develop and implement legal and commercial strategies.
Manage and interface with outside legal counsel on key matters to reduce operational risks and manage litigation.
Qualifications:
Juris Doctor (JD) degree from an accredited law school.
Admission to the bar in any jursidiction and eligible to practice as in-house counsel in Texas.
5-7 years of experience in contract drafting and negotiation, preferably in an in-house environment.
Strong understanding of contract law and legal principles.
Confident drafting independently and an interest in contract review/ writing.
Strong business judgment.
Strong interpersonal skills, excellent judgment and well-developed written and verbal communication skills to advise effectively at all levels of the organization.
Experience managing litigation.
Experience with negotiating disputes and settlements prior to involvement of outside counsel.
Detail-oriented with strong analytical and problem-solving abilities.
Ability to work collaboratively in a fast-paced environment and manage multiple priorities.
Experience in risk management.
Prior experience managing outside counsel/ litigation.
Commitment to the highest ethical and professional standards; personal and professional integrity beyond reproach; unquestioned discretion in maintaining confidentiality.
Seasoned and balanced business judgment with a strong understanding of financial risk assessment/management.
Preferred Qualifications:
Experience in a technology company; legal processes; Salesforce
Familiarity with compliance and regulatory issues.
