What is an Interim General Counsel?

An Interim General Counsel is a legal professional who temporarily fills the role of a company's chief legal officer during periods of transition, such as when a permanent General Counsel is being recruited or is on leave. They oversee all legal matters, manage compliance, handle risk management, and provide strategic legal advice to the executive team. Interim General Counsels are often brought in for their expertise and ability to quickly adapt to new environments, ensuring that the company's legal function continues to operate smoothly. Their responsibilities can include overseeing corporate governance, managing litigation, negotiating contracts, and advising on regulatory matters until a permanent hire is made.

What is the difference between Interim General Counsel vs Corporate Counsel?

AspectInterim General CounselCorporate Counsel
CredentialsLegal degree, bar admission, extensive legal experienceLegal degree, bar admission, specialized legal expertise
Work EnvironmentTemporary, high-level legal leadership, often in multiple industriesFull-time, in-house legal team within a company
Employer & Industry UsageUsed by companies needing interim leadership during transitionsUsed by companies with ongoing legal needs

The main difference is that an Interim General Counsel provides temporary, high-level legal leadership during transitional periods, while a Corporate Counsel is a permanent, in-house legal advisor handling ongoing legal matters. Both roles require similar credentials but differ in duration and scope of responsibility.

How does an Interim General Counsel typically integrate into an established legal team and ensure continuity during a transition period?

An Interim General Counsel usually steps into organizations during times of transition, such as leadership changes or while a permanent hire is being sought. To ensure continuity, they quickly assess ongoing legal matters, establish communication with key stakeholders, and review the company's current legal strategies. Integration often involves building trust with existing legal staff, clarifying roles, and prioritizing urgent issues. Effective Interim General Counsels maintain open lines of communication and provide steady guidance to keep legal operations running smoothly until a long-term leader is in place.

What are the key skills and qualifications needed to thrive as an Interim General Counsel, and why are they important?

To thrive as an Interim General Counsel, you need a law degree (JD), bar admission, and extensive experience in corporate legal matters and risk management. Familiarity with contract management systems, legal research databases, and regulatory compliance tools is typically required. Exceptional judgment, leadership, and strong interpersonal communication skills help drive effective decision-making and build trust across the organization. These skills enable Interim General Counsels to provide timely, strategic legal guidance and maintain organizational stability during transitional periods.
