They are seeking a highly motivated and detail-oriented Corporate Paralegal to join our team and support our dynamic Corporate Transactions Practice Group. This firm prides itself on delivering top-tier legal services to businesses ranging from emerging startups to established enterprises. With a thriving Corporate department, we are seeking a skilled Corporate Paralegal to support our attorneys in a dynamic, high-volume, and collaborative environment.
Position Summary
We are looking for a detail-oriented and proactive Corporate Paralegal with a strong foundation in business entity formations and familiarity with filings specific to the Florida Division of Corporations. The ideal candidate will also have exposure to Mergers & Acquisitions (M&A), with the ability to manage documentation and workflow related to corporate transactions.
Key Responsibilities
  • Prepare and file entity formation and qualification documents with the Florida Division of Corporations and other state agencies.
  • Maintain and organize corporate records, minute books, and cap tables.
  • Support the legal team in all phases of Mergers & Acquisitions transactions, including due diligence, closing checklists, and post-closing documentation.
  • Draft and maintain corporate governance documents such as resolutions, bylaws, and operating agreements.
  • Conduct UCC searches and prepare UCC filings.
  • Track and manage deadlines related to corporate filings, renewals, and compliance calendars.
  • Assist in preparing closing binders and maintaining organized transaction files.
  • Coordinate with internal and external stakeholders including attorneys, clients, regulatory agencies, and vendors.
Required Qualifications
  • Minimum of 2+ years of corporate paralegal experience, ideally in a law firm or in-house legal department.
  • Proven experience in business entity formations and corporate filings in Florida.
  • M&A experience is a significant plus—must be comfortable managing transaction support.
  • Familiarity with UCC filings, corporate records management, and deal documentation.
  • Proficiency in Microsoft Office Suite; knowledge of legal entity management software is a plus.
  • Strong organizational, communication, and time-management skills.
  • Paralegal Certificate or equivalent education/experience required.
