Job Description
The Sr. Information Technology (IT) Contract Specialist is responsible for overseeing the coordination, review, revisions, negotiations, and drafting of contractual agreements involved in the procurement of technology-related goods and services, including hardware, software, and consulting services. As the ideal candidate you will also: -
Provide support for other professional services contracts, as needed, including human resources and benefits related contracts, online subscription agreements and financial data services agreements. Such contractual agreements consist of non-disclosure and confidentiality agreements; purchasing and/or licensing agreements; services agreements, order forms, order schedules or statements of work; and contract amendments, among others.
Engage with external IT vendors, as well as internal IT organizational, Sourcing, Finance and Risk & Compliance personnel, and others, as required to complete agreements and to ensure that such agreements comply with company policies and procedures.
Demonstrate superior knowledge of commercial and legal terms in IT contracts, as well as expertise in drafting and reviewing contractual arrangements. He/she twill maintain a central repository of fully executed contracts and will produce executive level contract services metrics.
Mentor, train and review work of other IT Contract Specialists and consultants performing contract support work.
Essential Job Responsibilities:
Drafting and reviewing of MSAs, Schedules/Statements of Work (SOW) for consulting service projects, software, hardware, hosting and ASP/SaaS services.
Review contact terms and conditions ensuring compliance of company policies.
Assist business unit in negotiation of business terms.
Process existing agreements, including validation of proper insurance certificates, IT security documents and other contractual requirements.
Prepare final documents for execution, obtain fully executed agreements, and store in central repository Act as central business unit liaison with IT Legal to facilitate the contracting process.
Coordinate the interaction between business and vendor. 30% Mentor, train and review other IT Contract Specialists work. Serve as final checkpoint for document prior to executed agreement, to include financial information matching the financial records.
Maintain and enhance the contract workflow for contacting status and locations
Minimum Requirements and Qualifications
Minimum of 10 years of contract negotiations and management experience, including a minimum of 5 years experience with IT-related agreements.
Bachelors Degree required. JD degree is strongly preferred. Training requirements (licenses, programs or certificates) Knowledge and skills
Strong to Excellent contract drafting and negotiating skills
Strong understanding of IT contracting process and ability to articulate them into simple, understandable terms
Ability to build strong relationships with stakeholders and teammates including managers and directors
Extensive project management experience
Strong interpersonal, collaboration and communication skills
Experience in the vacation ownership or hospitality industry preferred
Technical Skills
Familiarity with budgeting and financial analyses
Some technical knowledge of IT products and services Job experience
2+ years leading and giving guidance and direction to IT Contract Specialists Experience equivalent to the education requirement may be accepted in lieu of the education requirement.
