Venture Capital & Emerging Growth Companies Associate (3+ Years) – Multiple Locations

Direct Counsel is representing an AmLaw 100 firm seeking a mid-level Associate to join its Venture Capital & Emerging Growth Companies practice. This position is available in Dallas, Boston, or New York and offers the opportunity to work with innovative companies and investors across high-growth industries.

Key Responsibilities
  • Advise emerging growth companies, venture funds, and investors on venture and growth financings

  • Draft and negotiate NVCA-based and customized financing documents

  • Counsel clients on corporate governance, capitalization, and strategic transactions

  • Support venture financings, M&A transactions, joint ventures, private equity investments, and capital markets matters

  • Collaborate with M&A, IP, tax, and regulatory teams on complex venture-backed transactions

Qualifications
  • J.D. from an accredited law school with strong academic credentials

  • 3+ years of corporate transactional experience, including venture financings or emerging company representation

  • Experience advising venture-backed companies, founders, and investors

  • Strong drafting, analytical, and communication skills

  • Ability to manage multiple transactions in a fast-paced environment

  • Active bar admission in the jurisdiction where the candidate will practice

Compensation & Benefits

Salary range: $250,000 – $435,000, depending on experience, plus a discretionary bonus.
