Job Expectations:

The Corporate Paralegal is responsible for providing legal and administrative support for corporate legal matters. This includes drafting, reviewing, and managing corporate documents, corporate governance, compliance matters, and intellectual property matters. This position also involves assisting in the preparation of board materials, filing corporate documents to include annual reports, new entity filings and EIN requests, maintaining company records, and ensuring compliance with corporate governance regulations and best practices. The ideal candidate should have extensive corporate legal experience, excellent organizational skills, strong attention to detail, and a thorough understanding of corporate governance principles as well as experience with corporate law, a keen understanding of business structures and operations and be self-sufficient in the drafting, filing, and organization of needed documents for corporate governance (annual reports, meeting minutes, bylaws, articles, resolutions, corporate actions, etc.)

Key Responsibilities:

  • Document Preparation & Review:
    • Draft, edit, and review various corporate documents such as contracts, agreements, bylaws, and resolutions.
    • Maintain corporate books for multiple entities
  • Corporate Governance:
    • Organize and maintain corporate records, including corporate minutes, shareholder meetings, board resolutions, and shareholder registers.
    • Ensure compliance with state and federal regulations regarding corporate governance.
  • Legal Research:
    • Conduct research on corporate law issues, business regulations, and industry practices.
    • Stay up to date on legal trends and regulatory changes that affect corporate operations.
  • Compliance:
    • Monitor compliance with corporate laws and regulations, including filings with regulatory bodies.
    • Assist with the creation and implementation of corporate policies and procedures.
  • Legal Administration:
    • Manage and organize corporate files, maintain legal databases, and track deadlines for compliance and regulatory filings.
    • Prepare and maintain accurate legal correspondence and reports.
  • Litigation Support (very limited):
    • Provide minimal paralegal support in corporate litigation matters, including document management, witness preparation, and filing with the courts.

Qualifications:

  • Education:
    • Bachelor’s degree and paralegal certification (e.g., NALA, NFPA) are preferred.
  • Experience:
    • At least seven (7) years of experience as a paralegal or senior administrative assistant in corporate law.
    • Strong knowledge of corporate legal practices, including mergers and acquisitions, corporate governance, and compliance.
  • Skills:
    • Proficiency in legal research, Microsoft Office Suite, and legal document management software.
    • Strong organizational, communication, and writing skills.
    • Attention to detail and ability to manage multiple tasks in a fast-paced environment.
