About the Role
Armada is seeking a pragmatic, business-minded Corporate Counsel to join our Legal team, reporting directly to the Head of Legal. This is a high-impact role for an attorney who thrives in fast-moving environments and wants broad exposure across corporate governance, strategic transactions, commercial matters, and operational legal support.
As Corporate Counsel, you will partner closely with leadership and cross-functional stakeholders across Finance, People, and Operations to help Armada scale responsibly and efficiently. You will support a wide range of legal initiatives, including corporate governance, strategic transactions and financing, entity management, and day-to-day corporate legal operations.
This role is ideal for an attorney who combines strong legal fundamentals with sound business judgment and is excited to build scalable processes at a rapidly growing technology company.
What You'll Do
  • Support corporate governance matters, including board and committee materials, resolutions, minutes, consents, and maintenance of corporate records across the corporate group.
  • Assist with strategic transactions, including mergers and acquisitions, investments, financing transactions, strategic partnerships, and related diligence and documentation.
  • Support subsidiary management and entity governance across domestic and international jurisdictions, including formations, qualifications, annual filings, and compliance obligations; coordinate with local counsel to ensure entities remain in good standing.
  • Help manage equity-related matters, including equity award documentation, cap table coordination, 409A processes, and support for employee equity programs.
  • Assist with corporate policies, compliance initiatives, and risk management processes as Armada scales globally, including policies governing insider trading, conflicts of interest, and corporate conduct.
  • Partner cross-functionally with Finance, People, Operations, and business leaders on corporate and operational legal matters.
  • Work closely with outside counsel on corporate, employment, compliance, and transactional matters as needed.
  • Build and improve legal templates, playbooks, workflows, and operational processes to drive efficiency and scalability.
  • Provide practical, business-oriented legal advice that balances risk management with execution velocity.
  • Contribute across a wide variety of legal and operational projects in a collaborative, high-ownership environment - Armada moves fast and priorities shift; flexibility and good judgment are essential.
What We're Looking For
  • J.D. from an accredited law school and active membership in at least one U.S. state bar
  • 4-7 years of relevant legal experience at a top law firm (additional in-house experience a plus)
  • Strong foundation in corporate law, commercial transactions, and corporate governance
  • Experience supporting strategic transactions, financing matters, and M&A
  • Exceptional drafting, negotiation, organizational, and project management skills
  • Ability to simplify complex legal concepts into practical guidance for business stakeholders
  • Comfortable operating independently in a fast-paced, evolving environment with shifting priorities
  • Strong attention to detail with a proactive, solutions-oriented mindset
  • Collaborative team player with excellent judgment and communication skills
  • Excited to work in a high-growth environment where no task is too big or too small
  • Interest in infrastructure, AI, emerging technologies, or high-growth technology businesses is a plus

For U.S. Based candidates: To ensure fairness and transparency, the starting base salary range for this role for candidates in the U.S. are listed, varying based on location experience, skills, and qualifications.
