This premier law firm is seeking an elite, senior-level Corporate Paralegal to drive high-stakes transactional and operational workflows. Supporting up to 6 attorneys, this pivotal role interfaces with cutting-edge industries across mergers and acquisitions, venture capital, tech startups, securities, intellectual property, and specialized regulatory matters. It offers an exceptional opportunity to manage complex entity lifecycles while utilizing a top-tier legal tech stack in a modern hybrid work structure.


Core Responsibilities

  • Entity Lifecycle Management: Execute end-to-end corporate formations, foreign qualifications, governance amendments, dissolutions, and state withdrawals.
  • M&A Transactional Execution: Spearhead due diligence workflows, engineer virtual data rooms (VDRs), draft ancillary closing documents, and finalize closing binders.
  • Regulatory Compliance & Licensing: Facilitate multi-state business licensing filings for highly regulated fields, including Architecture, Engineering, and Construction (AEC) sectors.
  • UCC & Lien Administration: Coordinate comprehensive Uniform Commercial Code (UCC) filings, judgment searches, and Federal tax lien tracking with external vendors.
  • Cross-Departmental Collaboration: Partner with commercial real estate attorneys to draft and file specialized Secretary of State real estate document packets.
  • Corporate Governance Drafting: Author and edit complex corporate resolutions, operating agreements, legal memoranda, consents, and shareholder correspondence.
  • Information Governance: Oversee pristine document management protocols within the digital ecosystem to ensure flawless data collection and audit readiness.


Required Qualifications

  • Experience: 5+ years of dedicated corporate paralegal experience handling transactional law firm operations.
  • Transactional Literacy: Advanced comprehension of corporate entity structures, M&A closing mechanics, capital tables, and regulatory compliance.
  • Technical Ecosystem: Power-user proficiency in Office 365, NetDocuments, Adobe Acrobat Professional, and DocuSign.
