Job Description

A small Texas-based law firm is looking for an 8+ year Texas licensed attorney to join the team on a part-time basis. The team offers the ability to engage in laid back transactional work with an extremely flexible remote work schedule.

10-40 hours per week depending on attorney’s preference. With flexible work hours, this would be a perfect opportunity for a stay at home parent, someone looking for a chance to slow down while stay involved, or a parent looking to re-enter the workforce.

8+ years of experience AND Texas license are required. While this is starting as a contract position, the chance to develop into a permanent role is available to the right candidate.

JOB DUTIES MAY INCLUDE:

  • Review, draft and negotiate documents and provide legal counsel on a wide range of matters impacting small businesses.
  • Advise clients with respect to business/entity formation and structure, including corporations and limited liability companies.
  • Draft required entity formation documents such as bylaws, meeting minutes, shareholder agreements, consents, operating agreements, etc.
  • Advise clients regarding small business acquisitions and review, draft and negotiate purchase agreements.
  • Advise real estate investor clients with respect to a wide range of services, including deal analysis and exposure, asset protection, deal negotiation, commercial lease agreements, property manager agreements, etc; and draft related documents when necessary.
  • Develop and maintain strong relationships with clients.
  • Provide exceptional customer service.

THE IDEAL CANDIDATE:

  • 8+ years of experience (Required)
  • Active Bar license in Texas (Required)
  • Is excited to partner with the owner as he grows the business and has a team mindset
  • Has experience advising clients on small business/corporate matters, contracts, sale and purchase of business transactions, and compliance and governance.
  • Has experience with small businesses and entity formation, selection, structure and exit strategies.
  • Has experience advising clients on real estate matters.
  • Has a proven ability to handle confidential information with discretion.
  • Has a proven ability to handle complex matters, with multiple initiatives going on simultaneously.
  • Is detail-oriented, organized, proactive and has strong communication skills.
  • Is a self-starter and loves the freedom to work independently and remotely, but has the self-discipline to stay focused on the greater goals of the law firm.
  • Possesses strong interpersonal skills and the ability to develop lasting business relationships.
  • Consistently drives for excellence and pushes his/her own limits.
  • Has exceptional work ethic and drive.
