Job Description

This is a remote position.

The ideal candidate will be responsible for the collection and organization of documents and information from various cases at the firm. This candidate should feel comfortable relaying messages between various groups and keeping all documents important to the cases they are working on organized. The role of the Paralegal is to support the Legal Department in the review and negotiation of legal terms in a broad range of corporate contracts in collaboration with paralegals and attorneys in the Legal Department with a primary focus on the needs of our San Diego operations.

Responsibilities

  • Review and draft routine legal documents
  • Create and maintain case files
  • Facilitate the meeting of attorney's deadlines by keeping organized schedules and providing timely reminders
  • Conduct legal research
  • A minimum 3-5 years of patent experience including: docketing and/or assisting in prosecution; experience with biotech or pharmaceutical patents strongly preferred.
  • Intellectual property experience including trademarks, invention disclosures, agreements, and various intellectual property related actions.
  • Experience handling patent annuities and renewals including tracking/monitoring due dates.
  • Experience with electronic IP docketing systems; familiarity with Anaqua IP docketing system strongly preferred.
  • Experience with document and email management applications and databases including Outlook, SharePoint, iManage, etc.; familiarity with the iManage system is strongly preferred.
  • Prepare various standard contracts for internal business clients, as required, including but not limited to CDAs, Consulting Agreements, Master Services Agreements, Statements of Work, and Amendments.
  • Maintain documentation of negotiations and versions of the contracts within the contracts management database.
  • Work collaboratively with paralegals and attorneys in the Legal Department and with Procurement colleagues involved in contract negotiations.
  • Ensure that contracts are thoroughly reviewed for legal, compliance, risk management provisions and payment terms alignment prior to submitting for internal approvals.
  • Assist in prioritization of contract needs to support the San Diego operation in collaboration with Procurement colleagues.
  • Manage contract requests and processes to ensure efficient and effective business productivity.
  • Other misc. projects as needed or requested by Legal team members.

Requirements
  • Experience as a legal secretary or assistant or paralegal
  • Bachelor's degree or Paralegal certificate preferred with 3 years minimum of relevant work experience
  • Pharma/Biotech experience highly desired
  • Knowledge, understanding of commercial contracts (CDAs, Consulting Agreements, Master Services Agreements, Manufacturing Agreements, Statements of Work, and Amendments)
  • Excellent oral and written communication skills
  • Excellent organizational and interpersonal skills
  • Proficient in Word and Adobe
  • Familiar with Excel, DocuSign, PowerPoint, Contract Management System
  • Ability to communicate effectively and partner with a variety of business functions at all levels
  • Ability to work effectively and independently under tight deadlines, high volume; prioritizing appropriately.
  • California Notary Public (preferred)
