Job description

Womble Bond Dickinson (US) LLP seeks a highly motivated Counsel candidate to join its Finance, Bankruptcy & Restructuring Practice Group on the Financial Services Team. The position is available in multiple WBD offices with preference for WBD's North Carolina offices, Irvine, Cleveland, Baltimore, and Denver.

Responsibilities:

  • Lead the coordination, preparation, review, and management of local counsel opinions.
  • Analyze opinion requests, identify jurisdictionspecific issues, and ensure opinions conform to lender expectations and firm standards.
  • Serve as the primary point of contact for referring counsel, including resolving inconsistencies and negotiating opinion language when necessary.
  • Partner with deal teams to ensure opinions are accurate, complete, and delivered on tight timelines.
  • Maintain and apply strong knowledge of opinion practice, customary assumptions, qualifications, and enforceability concepts.
  • Contribute to internal knowledgesharing and best practices related to opinion processes.

Qualifications

  • 3-6 years of relevant experience in equipment finance, assetbased lending, or commercial finance.
  • This role will primarily focus on commercial lending local counsel opinions; prior experience preparing real estate local counsel opinions is preferred, but not required.
  • Excellent judgment and a meticulous approach to legal analysis and written work.
  • Ability to work independently, manage complex opinion workflows, and support multiple transactions concurrently.
  • Strong communication skills and comfort working across offices and jurisdictions.
  • Admitted to practice, or eligible for admission, in the jurisdiction corresponding to the office location.

Compensation:

  • $150,000 - $320,000 annually is the estimated salary range for this role. Starting salary will be determined based on location, qualifications, and experience.

Please note that Womble Bond Dickinson's counsel track opportunities are off-track/not partner track and therefore have a reduced billable hour requirement. This position has a reduced hourly requirement and is a non-partner track position without the requirement of business development or firm management.
