About the Role:

GoDigital Music is seeking a Vice President, Business & Legal Affairs to serve as the company's primary in-house legal resource, operating with full strategic autonomy while partnering with outside counsel when needed. This is a high-impact, senior leadership role at the intersection of music law, deal structuring, and financial strategy, requiring someone who can advise executive leadership, lead complex transactions from inception to close, and build scalable legal frameworks for a growing, dynamic business.

The ideal candidate brings deep expertise in music distribution, catalog acquisitions, and rights-based transactions, combined with a sophisticated understanding of deal economics and financial structures relevant to the music industry.


Primary Responsibilities:

  • Serve as the primary in-house legal voice for GoDigital Music across all four business divisions: recording, publishing, distribution, and catalog
  • Draft and negotiate complex agreements involving revenue-sharing arrangements, minimum guarantees, advances, recoupment mechanics, and royalty structures within music distribution and rights-based transactions
  • Lead due diligence efforts related to music catalog acquisitions and rights-based transactions, including analysis of revenue streams, contractual obligations, and asset performance
  • Work closely with finance and executive leadership to assess deal structures, evaluate risk, and ensure alignment between legal frameworks and business objectives
  • Develop and implement strategies that protect and maximize the commercial value of GoDigital Music's intellectual property assets
  • Establish scalable legal frameworks that support transaction execution and financial risk mitigation across all business operations
  • Advise on compliance with applicable data protection and privacy regulations
  • Collaborate with external legal counsel on litigation strategy, document review, and dispute resolution
  • Maintain awareness of evolving practices in music rights, digital distribution, and deal structuring


Experience and Qualifications:

  • Juris Doctor (JD) degree from an accredited US law school.
  • Active Bar admission in the relevant jurisdiction.
  • Minimum 10 years of experience in the music industry with direct involvement in music distribution, recording agreements, publishing deals, and catalog acquisitions.
  • Demonstrated experience leading complex transactions involving music rights, catalog acquisitions, or structured commercial deals,from deal structuring through closing.
  • Deep understanding of deal economics including advance structures, recoupment mechanics, minimum guarantees, revenue-sharing arrangements, and financial covenants relevant to music distribution and catalog transactions.
  • Ability to work alongside finance leadership on deal profitability assessment and risk management.
  • Experience operating as a
    primary in-house legal resource or General Counsel with limited support staff, exercising independent judgment across a broad range of legal matters.
  • Excellent drafting, negotiation, and communication skills.
  • Strong analytical and problem-solving abilities with attention to detail.
