Job description

Baro RH filliere du groupe SFT est à la recherche d'un(e) technicien(ne) juridique spécialisé(e) en droit corporatif pour rejoindre une équipe dynamique d'un cabinet juridique reconnu à Montréal. Dans ce rôle, vous serez chargé(e) d'assister les avocats dans la gestion des dossiers corporatifs et de fournir un soutien administratif essentiel à la réalisation des transactions et des opérations corporatives. Votre expertise en droit des affaires vous permettra de contribuer à des projets variés allant de la constitution de sociétés à la rédaction de documents juridiques complexes. Ce poste est une excellente opportunité pour un(e) professionnel(le) souhaitant occuper un rôle clé dans le domaine du droit corporatif.

Responsabilités

Missions juridiques:

    • Rédiger la documentation corporative nécessaire à la constitution, l’organisation et la mise à jour des sociétés (résolutions, procès-verbaux, avis de convocation, rapports annuels, etc.) ;
    • Préparer et mettre à jour les registres et livres de société (livres des minutes, registres d’actionnaires, conseils d’administration, assemblées annuelles, etc.) ;
    • Effectuer les dépôts et mises à jour auprès des instances gouvernementales (Registraire des entreprises, Corporations Canada, etc.) ;
    • Rédiger et réviser divers actes juridiques corporatifs et commerciaux (contrats, conventions entre actionnaires, cessions d’actions, dissolutions, etc.) ;
    • Assister les avocats dans la recherche d’informations juridiques, la vérification de conformité et la préparation de dossiers ;
    • Assurer la mise à jour de la base de données interne (JURIS ou autre logiciel de gestion juridique).

Missions administratives:

    • Gérer la correspondance, les appels et l’accueil des clients avec professionnalisme et discrétion ;
    • Assurer la tenue de l’agenda de l'avocat et la planification des réunions, assemblées ou audiences ;
    • Préparer et mettre en forme les documents juridiques et administratifs ;
    • Assurer le suivi des conventions d’honoraires, de la facturation et, au besoin, des relances de paiement ;
    • Participer à la gestion documentaire et au classement des dossiers clients.
Critères recherchés:
  • Diplôme en techniques juridiques ou en droit des affaires.
  • Minimum de 5 ans d'expérience en tant que technicien(ne) juridique, spécifiquement dans le domaine du droit corporatif.
  • Excellente maîtrise du français et de l'anglais, tant à l'oral qu'à l'écrit.
  • Compétences en rédaction juridique et souci du détail.
  • Capacité à travailler dans un environnement dynamique et à gérer plusieurs priorités.
  • Maîtrise des outils de bureautique et des logiciels de gestion documentaire.
  • Bonnes aptitudes interpersonnelles et sens du service à la clientèle.
