Wilson Sonsini is looking for an entry-level Paralegal Clerk to sit in our Palo Alto Headquarters office to work closely with our attorneys in supporting companies in our dynamic Corporate Department.
This position is available as a hybrid work schedule.
Responsibilities:
  • Assist with preparation of routine documents, such as incorporation documents, board and shareholder actions, and stock certificates
  • Handle basic equity management matters, including generating reports and maintaining capitalization records
  • Conduct corporate legal research
  • Prepare and handle corporate and securities filings
  • Assist on financings and acquisitions
  • Assist with correspondence to stockholders, directors, and investors
  • Assist with due diligence and closing matters, including data room set-up, preparing signature packets, and creating closing volume
  • Handle daily corporate maintenance work
  • Organize client records and maintain files
  • Input time entry daily

Qualifications:
  • Bachelor's Degree at accredited college or university
  • 1+ years of experience working under the supervision of an attorney
  • Enthusiastic about learning and growing in a fast-paced legal environment
  • Proficient with Office suite (specifically Excel)
  • Detail-oriented, organized, and able to work collaboratively as part of a team
  • Excellent communication and prioritization skills to manage tasks
  • Prior experience working in an office environment is preferred

The primary location for this job posting is in Palo Alto. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate's qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location. The anticipated pay range for this position is as follows: $34.65 - $46.88 per hour.
The compensation for this position may include overtime and a discretionary year-end merit bonus based on performance. We offer a highly competitive salary and benefits package.
