Seck & Associates supports clients with entity selection, business formation, governance, contracts, supplier and vendor agreements, and obtaining financing from banks, private investors, and venture capital firms. The firm also guides clients through franchise development, private equity and finance, and exit and succession strategies, positioning companies for sale and identifying potential buyers. Role Description

The Senior Associate Corporate Attorney will provide legal counsel on corporate and transactional matters, primarily serving entrepreneurial and growth-oriented clients. This full-time hybrid role is based in Overland Park, KS, with the flexibility to perform some work from home. Day-to-day responsibilities include drafting, reviewing, and negotiating contracts and transaction documents for mergers, acquisitions, restructurings, joint ventures, financing, and franchise arrangements. The attorney will advise clients on entity formation, corporate governance, employment and contractor agreements, and regulatory compliance, while collaborating closely with clients to align legal strategies with business objectives. The role also involves legal research, risk analysis, participation in client meetings, coordination with other professionals (such as accountants and financial advisors), and support for business development initiatives within the firm.

Qualifications
  • Strong foundation in corporate and business Law, with experience in mergers and acquisitions, restructurings, joint ventures, and general corporate matters.
  • Knowledge of Labor and Employment Law as it relates to employee contracts, independent contractor agreements, and workplace policies.
  • Demonstrated ability to provide practical Legal Advice that aligns with client business goals, including strategy and counseling for entrepreneurial and growth-stage companies.
  • Advanced Research skills for analyzing statutes, regulations, and case law, and applying findings to complex transactional and corporate issues.
  • Proven Negotiation skills in drafting and closing agreements, including purchase agreements, financing documents, franchise agreements, and commercial contracts.
  • Juris Doctor (JD) from an accredited law school and admission (or eligibility for admission) to practice law in Kansas; Missouri license is strongly preferred or willingness to obtain.
  • Several years of relevant experience in a law firm or in-house corporate environment, with direct responsibility for transaction management and client counseling.
