Energy & Infrastructure – Offtake / PPA Associate Attorney

Direct Counsel is seeking an Energy & Infrastructure – Offtake / PPA Associate Attorney to join a prestigious Am Law firm in Austin, Boston, Charlotte, Chicago, Houston, Irvine (Orange County), Los Angeles, Miami, New York City, Portland, Sacramento, San Francisco, Santa Monica, Seattle, Silicon Valley (Menlo Park), or Washington, D.C.

This is an exceptional opportunity for an attorney with 3-9 years of energy transactions experience to join a nationally recognized Energy & Infrastructure practice. The team advises developers, sponsors, investors, utilities, and corporate energy buyers on sophisticated renewable energy and energy storage projects, with a particular focus on energy offtake arrangements and power purchase agreements (PPAs).

Responsibilities
  • Represent clients in negotiating and drafting renewable energy and energy storage offtake agreements.

  • Advise on physical and virtual power purchase agreements (PPAs) for both buyers and sellers.

  • Structure and negotiate corporate PPAs and renewable energy credit (REC) agreements.

  • Draft and negotiate energy storage offtake agreements, carbon removal credit offtakes, and nuclear energy offtake agreements.

  • Advise clients on hedging agreements, resource adequacy sales agreements, ISDA Master Agreements, and EEI agreements.

  • Support the development, financing, acquisition, and commercialization of renewable energy and infrastructure projects.

  • Collaborate directly with clients and multidisciplinary legal teams on complex domestic energy transactions.

  • Provide strategic legal guidance on evolving market and regulatory developments affecting energy projects.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in the state bar of the office where the attorney will be located.

  • 3-9 years of experience representing clients in energy, infrastructure, or project development transactions.

  • Significant experience with one or more of the following:

    • Renewable energy power purchase agreements (physical or virtual)

    • Corporate PPAs

    • Energy storage offtake agreements

    • Carbon removal credit offtakes

    • Nuclear energy offtake agreements

    • Renewable energy credit (REC) agreements

    • ISDA or EEI agreements

    • Hedging or resource adequacy agreements

  • Strong drafting, negotiation, analytical, and communication skills.

  • Excellent academic credentials.

  • Highly motivated with the ability to thrive in a fast-paced, collaborative environment.

Compensation & Benefits
