Realty Income is hiring an Associate Vice President, Strategic Ventures Legal Counsel who will serve as a legal advisor for the company's global real estate growth strategy. This includes joint ventures, programmatic partnerships, private credit platforms and real estate fund formation across multiple jurisdictions, supporting the legal execution of all strategic ventures beyond core acquisitions, leasing and sales for Realty Income.
This role is responsible for supporting all strategic ventures, including private fund formation and management, joint ventures, private credit lending arrangements and certain geographic expansion, partnering with senior leadership and cross-functional teams to ensure compliance and advance the company's strategic objectives to diversify capital sources and expand its asset management platform.
What you will be working on:
Strategic Ventures Leadership
  • Provide guidance on business and legal frameworks for joint ventures, co-investment structures, preferred equity arrangements, and partnerships, as designated by the SVP, Strategic Ventures or the Chief Legal Officer.
  • Negotiate agreements with institutional investors (domestic and international) and other strategic partners.

Fund Formation & Structuring
  • Support legal workstreams for the formation, structuring, and launch of private funds, joint ventures and co-investments.
  • Oversee the drafting of private placement memoranda (PPMs), limited partnership agreements (LPAs), subscription agreements, side letters, operating agreements, and related offering documentation.
  • Advise on structuring and formation of real estate private equity and private credit funds (globally), joint ventures and club vehicles, including regarding fund governance, investor rights, and economic terms; oversee multiple funds across geographies.

Regulatory & Compliance Oversight
  • Ensure compliance with federal/global securities laws (Investment Advisers Act, '33 and '34 Acts), state Blue Sky laws, anti-money laundering and REIT-specific regulations.
  • Oversee regulatory filings (Form ADV, Form D, etc.) and advise on registered investment adviser status.
  • Monitor SEC, FINRA, and other regulatory developments; provide continuing counsel on applicability.
  • Partner with Compliance & Ethics to implement policies for marketing, fundraising, conflicts of interest, sanctions and ESG and reporting obligations applicable to real estate vehicles.

Geographic Expansion
  • Support expansion into new countries and regions outside Europe and the United States. Coordinate with local counsel to assess regulatory, title, land use and environmental risks for platform build-outs and portfolio acquisitions, development transactions and joint venture activity.

Investor Relations & Capital Raising
  • Partner with fundraising/investor relations teams on investor due diligence and negotiations.
  • Support capital raising by reviewing marketing materials, data room content, and managing investor inquiries.

Leadership & Collaboration
  • Foster a collaborative, inclusive, and purpose-driven culture in line with Realty Income's values.
  • Develop standardized templates, playbooks and best practices to streamline JV, financing and fund formation documentation and approvals globally.

External Counsel and Stakeholder Management
  • Select and manage external counsel, optimize scope and fees and ensure consistent documentation and risk positions across deals and regions.
  • Present clear, commercially grounded recommendations to senior management, investment committees, investors and boards on key legal issues and transaction risk-reward tradeoffs.

What you need to be successful:
  • Juris Doctor (JD) from an accredited law school; admission to at least one U.S. state bar.
  • We expect at least five years of relevant transactional legal experience in-house or at a top-tier law firm.
  • Extensive experience with real estate funds, lending/private credit and private equity.
  • Experience with real estate transactions preferred
  • Experience administering compliance programs for SEC-registered investment advisers preferred.

This position is based in our San Diego (Del Mar area) headquarters. Monday through Thursday is in-office for collaboration, with the opportunity to work remotely on Friday.
The base pay range for this role is $196,579 - $287,361 - $379,288

Offers near the high end are uncommon but may be considered for candidates with exceptional experience and skills and are dependent on the facts and circumstances of each case. You may be eligible for an annual discretionary bonus and an annual discretionary stock award, to be discussed during the interview process. An annual pay rate and total compensation package is generally determined by the candidate's experience, knowledge, education, skills, performance, and abilities, as well as internal equity, company performance, and alignment with market data.
