Responsibilities
PJT Partners is seeking to hire a skilled attorney to join our global Legal team. This role requires an individual who (i) is comfortable working within a fast-paced and energetic environment, (ii) possesses strong interpersonal and contractual drafting skills, and (iii) is a consummate team player.
This individual will work closely with and advise our PJT Park Hill advisory and placement agent businesses, including working with PJT Park Hill management on various legal and regulatory matters. This is a great opportunity for someone who can work independently and as part of a team.
Responsibilities include advising our PJT Park Hill advisory and placement agent businesses in connection with:
  • Engagement agreements and related client agreements for PJT Park Hill's private equity, hedge fund, credit, real estate and secondary (GP and LP-led) capital raising mandates, including drafting, reviewing, negotiating and providing counsel and advice on legal and regulatory provisions as well as the structuring and implementation of commercial terms;

  • Structuring commercial arrangements and negotiating the related contractual provisions alongside the PJT Park Hill business teams as well as considering key areas of compliance, such as managing conflicts of interest;

  • Interfacing with the Company's clients and their counsel in connection with legal and regulatory matters relating to their engagement agreements, including US and non-US securities law exemptions, international fund marketing rules and any related filings and, SEC and FINRA compliance matters.

Additional responsibilities include:
  • Advising the PJT Park Hill business regarding applicable policies and procedures of the Company, including regulatory updates applicable to the PJT Park Hill business;

  • Providing legal support for and coordination with the Company's Corporate functions and Company-wide initiatives, including the review of non-disclosure agreements and third-party vendor agreements across all of the PJT Partners businesses;

  • Opportunities to work on projects across the PJT Partners businesses, including strategic advisory and restructuring and special situations mandates;

  • Coordinating with the Company's compliance team in matters of joint responsibility.

Qualifications
PJT We seek to hire individuals who are highly motivated, intelligent, and proven self-starters. In addition, qualified candidates will possess the following:
  • Minimum 5 years in the practice of law;

  • Law firm and/or internal counsel at a financial institution in the private markets business;

  • Private Funds practice experience preferred;

  • Secondaries experience (GP or LP-led) a plus;

  • Team-oriented mentality with a strong work ethic and desire to learn;

  • Strong negotiation and drafting skills;

  • Strong analytical, prioritization and organization skills; and

  • Excellent interpersonal skills.

Expected annualized base salary of $150,000 to $185,000.
This range represents the low and high ends of the expected annualized base salary for this position. The specific base salary received by any employee will be informed by a number of factors, including but not limited to, role level and scope, location, candidate's relevant qualifications, skills and experience.
Base salary is one component of PJT Partners' compensation structure. In addition to base salary, PJT Partners' compensation structure may include additional rewards, incentives and benefits, including but not limited to, a discretionary bonus component.
