Job description

WORKING PLACE / San Diego, CA (Hybrid)COUNTRY / USADEPARTMENT / LegalReports to / General CounselTYPE OF CONTRACT: FTE - 6-month contract
General purpose:
The Paralegal will work closely with the General Counsel and business stakeholders at all levels of the company. As the Paralegal, you will be a pivotal contributor in following key processes and practices to support the day-to-day efficiency and effectiveness of the legal team, support legal compliance initiatives, and assist in controlling costs.
Main responsibilities:
Contract Management
  • Maintain the Contracts inbox, triage all requests, and control and track legal department workflow.
  • Prepare initial drafts of NDAs, reseller agreements, referral agreements, and customer agreements, and initial review of redlined agreements prior to submission to attorney for review.
  • Proof final drafts and manage signature process through DocuSign and/or physical signatures. Circulate fully executed copies to internal and external parties.
  • Maintain Salesforce and Legal drive as contract repository.
  • RFP - support the RFP team in completing customer questionnaires and response documents.
Procurement
  • Obtain all necessary approvals in accordance with company procurement policies.
  • Perform initial review of vendor agreements before submission to attorney for review.
Litigation Management
  • Support the collections process (assist with drafting and sending collection letters, notices of breach, and managing litigation for same if required).
  • Support the General Counsel in other pre-litigation matters.
Intellectual Property
  • Assist with patent portfolio management and coordination with outside IP counsel.
Compliance & Risk Management
  • Assist with company export control, sanctions compliance, and Know Your Customer (KYC) process.
Corporate Governance & Maintenance
  • Prepare annual filings (i.e. Statement of Information) for US corporate entities.
  • Support corporate governance for company's international entities.
Administrative
  • Maintain legal department templates and manage updates as needed.
  • Schedule meetings, department mailings, filing, and coordination of IT support.
Required skills and experience:
Education
  • Bachelor's Degree and/or Paralegal Certificate
Required
  • 5+ years of corporate paralegal and/or legal assistant experience
  • Knowledge of standard contract language
  • Highly effective written and verbal communication skills.
  • Strong time management, negotiation, and organization skills.
  • Capable of managing multiple tasks and working well under pressure.
  • Must be a self-starter, resourceful and able to participate in a highly collaborative, team-oriented work environment.
  • Ability to maintain confidentiality and assist on sensitive matters with discretion.
  • Proficient with Microsoft Word, particularly with running and reviewing redlines, Microsoft Teams, Adobe Acrobat, and DocuSign, as well as the ability to learn other software programs as needed.
  • Current CA Notary Public Commission preferred but not required.
