Job description

Summary:
FET is looking for a motivated and detail-oriented individual to fill the position of Contracts Counsel. Reporting to the General Counsel, the successful candidate will be responsible for the review, negotiation, and administration of a variety of commercial contracts, ensuring alignment with FET's risk mitigation policies and business objectives. In addition, the role requires a strong communicator who is comfortable working in a fast-paced environment with various external customers/vendors and internal teams.
Job Duties/Responsibilities:
  • Review, redline, and provide legal risk analysis of contract terms to ensure they align with FET's risk mitigation policies and applicable law.
  • Negotiate commercial contract terms with customer and vendor counterparts, including indemnity, liability, warranty, and other risk-related provisions, escalating as appropriate.
  • Prepare and review ancillary documents to the contracts, such as amendments, scopes of work, specification sheets, purchase orders, parent company guarantees, etc.
  • Liaise with tax, treasury, insurance, logistics, compliance and sales, as needed.
  • Help create and maintain a contract tracking/management system.
  • Assist with managing and optimizing signature and workflow systems.
  • Work closely with the Company's sales and other team leaders.
  • Special/other projects as needed.
  • Manage contract review pipeline and provide regular status updates to Senior Legal Counsel on pending matters.
  • Establish and maintain positive relationships with external clients through a customer-oriented mindset.
  • Future opportunities for expanded opportunities in litigation, compliance and issues arising from operations.

Skills/Knowledge/Education:
  • J.D. from an accredited law school and active bar membership in good standing, or a Bachelor's degree with substantial commercial contracts experience.
  • 2-5 years of experience in commercial contract review, drafting, and negotiation, preferably in the manufacturing, oilfield services, or energy industry.
  • Strong understanding of various commercial contract provisions including, but not limited to, indemnity schemes, warranty terms and exclusions, Incoterms, liquidated damages, limitations of liability, consequential damages, etc.
  • Proficient in Microsoft Word (including redlining/track changes) and Teams; experience with contract lifecycle management (CLM) software and SharePoint a plus.
  • Excellent organization and time management skills.
  • Ability to work effectively as part of a team and prioritize workload with limited supervision.
