Transactional Attorney

Title: Transactional Attorney

Location: Chicago, IL
Position Overview
We are seeking a skilled Transactional Attorney to represent buyers and sellers and lead commercial transactions across M&A, real estate, corporate, and business matters. The ideal candidate will guide deal strategy, negotiate and draft agreements, manage due diligence and closings, and provide pragmatic legal solutions that align with clients commercial objectives while mitigating risk.
Key Responsibilities

  • Advise clients on a wide range of transactional matters including M&A, real estate acquisitions and dispositions, commercial contracts, joint ventures, and corporate reorganizations.
  • Lead and manage all phases of transactions: deal structuring, negotiation and drafting of definitive agreements, coordinating due diligence, resolving issues, and closing transactions.
  • Draft, review, and negotiate complex commercial contracts, purchase and sale agreements, leases, asset and stock purchase agreements, shareholder and operating agreements, and ancillary transaction documents.
  • Conduct and coordinate due diligence reviews, identify and analyze legal and commercial risks, and recommend practical solutions to protect client interests.
  • Counsel clients on corporate governance, entity formation, capital raising, securities compliance and commercial terms to support business objectives.
  • Collaborate with tax, finance, real estate, and regulatory teams and external advisors to execute integrated transaction strategies.
  • Manage multiple matters and deadlines, supervise and mentor junior attorneys and paralegals, and ensure consistent quality and responsiveness in client service.
  • Maintain accurate matter records, prepare client updates, and support billing and engagement management processes.

Qualifications

  • Juris Doctor (JD) from an accredited law school
  • Admission to practice in Illinois
  • 3+ years of transactional experience at a law firm or in-house, with demonstrated work on M&A, commercial real estate transactions, or corporate transactions.
  • Proven experience drafting and negotiating transactional documents including asset and stock purchase agreements, commercial leases, and shareholder/operating agreements.
  • Strong commercial judgment, negotiation skills, and the ability to translate legal issues into practical business advice.
  • Excellent written and verbal communication skills, attention to detail, and the ability to manage multiple priorities and clients simultaneously.
  • Experience coordinating due diligence and working with cross-functional teams including finance, tax and regulatory specialists.
  • Comfort mentoring junior lawyers and managing workflow in a fast-paced environment.
  • Familiarity with document management systems, e-billing, and standard deal-closing processes; bonus for prior experience with M&A integrations, financings, or securities matters.
