Transaction Banking
Our mission is simple: provide a global transaction banking platform that is nimble, secure, and easy for clients to use. We have delivered a modern, digital-first transaction banking platform to serve Goldman Sachs' varied client base. Our business combines the strength, heritage, and expertise of a 150-year-old firm with the agility and entrepreneurial spirit of a technology-led platform designed to solve complex operational needs for corporate and institutional clients.
Within Transaction Banking, the Escrow and Account Control offering supports complex commercial and capital markets transactions where funds must be held, pledged, controlled, released, or administered in accordance with transaction documentation, client objectives, and risk/control requirements.
Position Overview
We are seeking a Vice President to help lead the execution and ongoing management of complex institutional escrow and account control transactions. This role is focused on bank escrow, DACA/account control, and other institutional transaction banking use cases. It is not title-company or residential real estate escrow.
In this role, you will sit at the intersection of transaction management, deal structuring, client coverage, legal documentation, and operations. You will partner closely with Relationship Managers, Investment Banking and Coverage partners, Legal Counsel, Operations, Risk, Compliance, and clients to structure, negotiate, execute, and administer bespoke escrow and DACA transactions.
The ideal candidate has deep familiarity with the transaction types that give rise to escrow and account control structures, including M&A transactions, private placements, acquisition finance, secured lending, restructuring, litigation settlements, project finance, regulatory escrows, collateral arrangements, and other capital markets-related activity. The successful candidate will understand why the payment is being made and why funds are being controlled, not just the operational mechanics of moving money.
Key Responsibilities
Deal Structuring & Coverage Partnership
  • Partner closely with Coverage, Investment Banking, clients, lenders, borrowers, sponsors, internal Legal, external counsel, Operations, Risk, and Compliance to structure and execute complex institutional escrow and account control arrangements.
  • Serve as the transaction quarterback from initial opportunity intake through documentation, account setup, funding, disbursement mechanics, closing, amendments, terminations, and ongoing servicing.
  • Act as a product and transaction Subject Matter Expert for Coverage teams, providing practical guidance, structuring advice, and support for client pitches, RFP responses, and transaction scoping discussions.

Legal, Documentation & Transaction Execution
  • Review, interpret, and help negotiate escrow agreements, deposit account control agreements, account instructions, disbursement conditions, closing mechanics, and related transaction documentation.
  • Translate legal and commercial requirements into clear operational actions, dependencies, controls, timelines, and stakeholder deliverables.
  • Ensure that transaction documentation supports the client objective while protecting the bank's risk profile, operating model, and control environment.

Product Strategy & Lifecycle Management
  • Assist with the strategic direction of the Escrow and DACA product suite by identifying opportunities to improve execution, standardize workflows, digitize documentation, and scale the offering.
  • Partner with Operations, Technology, Legal, and Risk stakeholders to streamline onboarding, improve transaction controls, reduce manual friction, and enhance the client experience.
  • Provide feedback from live transactions to inform product enhancements, documentation templates, process improvements, and go-to-market priorities.

Risk, Governance & Compliance
  • Ensure escrow and DACA transactions are handled in accordance with governing instructions, applicable regulatory expectations, KYC/AML requirements, internal policies, and operating controls.
  • Maintain a strong control environment for account setup, funding, permitted payments, manual payment controls, release instructions, amendments, terminations, and transaction monitoring.
  • Serve as a primary contact for clients and internal teams, ensuring timely receipt of information, clear communication, and disciplined follow-through on payment and documentation requirements.

Qualifications
  • Bachelor's degree in Finance, Economics, Business, Legal Studies, or a related field. JD, MBA, or other advanced degree is helpful but not required.
  • 7+ years of experience in Transaction Banking, Corporate Trust, Escrow Services, DACA/account control, Agency Services, Loan Agency, Structured Finance Transaction Management, Capital Markets Operations, or a specialized legal/structuring role.
  • Deep understanding of the capital markets, financing, corporate, or institutional transactions that give rise to escrow and DACA structures.
  • Experience with transaction flows, escrow and account control documentation, SPAs/share purchase agreements, security arrangements, closing mechanics, disbursement processes, and ongoing account administration.
  • Strong practical judgment around legal documentation, operational execution, risk mitigation, KYC/AML, payment controls, and fiduciary or quasi-fiduciary governance.
  • Exceptional stakeholder management skills, with the ability to build consensus across Coverage, Legal, Risk, Operations, Technology, clients, and external counsel.
  • Strong written and verbal communication skills, with the ability to translate complex legal, structural, and operational requirements into clear commercial solutions.
  • Commercial mindset with ability to contribute to product growth, client satisfaction, timely deal execution, fee revenue, deposit balance objectives, and operating model scalability.

Salary Range
The expected base salary for this New York, NY, United States-based position is $125000-$250000. In addition, you may be eligible for a discretionary bonus if you are an active employee as of fiscal year-end.
