We are seeking an experienced Contracts Manager to lead all aspects of contract administration, negotiation, compliance, and risk management across a diverse portfolio of government and commercial agreements.

Position Summary

The Contracts Manager will serve as a trusted advisor to executive leadership, program management, business development, and legal teams on all contractual matters. This individual will oversee the full contract lifecycle, from proposal support and pre-award activities through post-award administration and closeout, while ensuring compliance with applicable federal regulations and company policies.

The ideal candidate brings deep expertise in government contracting, strong business judgment, exceptional attention to detail, and the ability to navigate complex contractual and regulatory environments.

Key Responsibilities

Contract Management & Administration

  • Review, negotiate, draft, and administer a variety of agreements, including:
    • Prime Contracts
    • Subcontracts
    • Statements of Work (SOWs)
    • Teaming Agreements
    • Purchase Orders
    • Non-Disclosure Agreements (NDAs)
    • Licensing Agreements
    • Vendor and Commercial Contracts
  • Support contract execution as both a Prime Contractor and Subcontractor.
  • Maintain contract records and ensure proper contract file management.

Proposal & Pre-Award Support

  • Serve as the contracts subject matter expert throughout the proposal lifecycle.
  • Support proposal development from pre-award through post-award activities.
  • Review solicitations, RFIs, RFPs, and customer requests to ensure compliance and responsiveness.
  • Provide guidance regarding contract strategy, risk mitigation, and contractual obligations.

Compliance & Risk Management

  • Analyze contract requirements, special provisions, terms, and conditions.
  • Ensure compliance with:
    • FAR
    • DFARS
    • Agency-specific supplements
    • ITAR regulations
    • Organizational Conflict of Interest (OCI) requirements
  • Identify, evaluate, and recommend solutions to mitigate contractual and organizational risk.
  • Advise internal stakeholders regarding rights, obligations, and performance requirements.

Strategic Business Support

  • Support Program Managers with contractual guidance and issue resolution.
  • Partner with Legal, Finance, and Executive Leadership on complex contractual matters.
  • Support Corporate Development and M&A activities, including:
    • Due diligence reviews
    • Contract novations and assignments
    • Post-acquisition integration activities
  • Assist with corporate governance matters, including entity formation, maintenance, and dissolution across multiple jurisdictions.
  • Stay current on evolving government regulations, compliance requirements, and industry trends.

Qualifications

Required Experience

  • 5-10 years of government contracts management experience.
  • Experience reviewing, negotiating, drafting, and administering federal government contracts and commercial agreements.
  • Strong understanding of:
    • FAR
    • DFARS
    • ITAR
    • Organizational Conflicts of Interest (OCI)
    • Government procurement regulations
    • Federal contract law
  • Experience supporting:
    • Time & Materials (T&M) Contracts
    • Fixed Price Contracts
    • Cost Reimbursement Contracts
    • Other Transaction Authority (OTA) Agreements
  • Understanding of cost accounting principles and government contracting financial structures.

Preferred Qualifications

  • Active Top Secret Security Clearance or ability to obtain one.
  • Experience supporting high-growth government contractors.
  • Experience supporting mergers, acquisitions, and corporate transactions.
