Job description

We are sharing a specialised part-time consulting opportunity for legal professionals experienced in commercial contracts, transactional law, contract review, negotiation workflows, clause analysis, and structured legal documentation processes.

This role supports current and upcoming remote consulting opportunities focused on structured contract review, commercial legal workflow analysis, drafting support, negotiation documentation, obligation extraction, clause classification, and high-quality project execution. Selected professionals will apply their commercial legal expertise to review realistic contracting scenarios, evaluate documentation requirements, prepare structured written outputs, and support accurate, evidence-based contract workflow tasks.

Key Responsibilities

Professionals in this role may contribute to:

Contract Drafting & Clause Review

  • Review commercial contract scenarios involving MSAs, SOWs, NDAs, DPAs, order forms, licensing terms, and required clause sets
  • Evaluate contract drafts against defined parameters, required provisions, fallback positions, and source materials
  • Support structured review of clause language, defined terms, commercial obligations, contract schedules, and drafting requirements
  • Identify missing clauses, inconsistent terms, drafting gaps, and expected contract review outcomes

Redlining, Negotiation & Playbook Support

  • Review contract negotiation scenarios involving redlines, fallback positions, negotiation playbooks, commercial terms, and risk-based decision criteria
  • Evaluate proposed redlines against defined playbook positions, clause standards, approval thresholds, and documented business requirements
  • Support structured review of SaaS commercial terms, data protection provisions, IP and licensing clauses, indemnity terms, and limitation-of-liability structures
  • Prepare clear written explanations for contract and negotiation decisions based on source materials and verifiable criteria

Post-Signature Obligations & Contract Management

  • Review post-signature contract scenarios involving obligation extraction, clause classification, contract summaries, abstraction workflows, and taxonomy-based review
  • Evaluate obligation lists and clause classifications against source agreements, defined taxonomies, and documented contract requirements
  • Support structured review of CLM workflows using tools such as Ironclad, Agiloft, LinkSquares, DocuSign CLM, or similar systems
  • Maintain accuracy, consistency, and professional judgment across submitted work

Ideal Profile

Strong candidates may have:

  • JD with 3+ years of experience in commercial law, transactional law, contract review, legal operations, in-house legal work, law firm transactional practice, or related legal roles
  • Bar admission in at least one U.S. state or equivalent foreign legal qualification
  • Experience with one or more areas such as SaaS commercial terms, MSAs, SOWs, NDAs, DPAs, data protection, GDPR, CCPA, IP licensing, indemnity, limitation of liability, fallback positions, or contract playbooks
  • Familiarity with CLM tools such as Ironclad, Agiloft, LinkSquares, DocuSign CLM, ContractPodAi, Sirion, Icertis, or similar contract management systems
  • Comfort reading and preparing contract artifacts such as redlines, playbook entries, abstraction summaries, fallback positions, obligation lists, clause classifications, and contract summaries
  • Strong written communication skills and ability to explain contract reasoning clearly
  • Ability to follow structured instructions and produce evidence-based work

Educational Background

  • Juris Doctor degree is strongly preferred
  • Bar admission, foreign legal qualification, legal operations experience, transactional practice experience, or equivalent practical commercial contracts background is highly relevant

Nice to Have

  • Experience in in-house legal teams, SaaS contracting, technology transactions, privacy/data protection contracting, procurement contracts, or commercial legal operations
  • Strong familiarity with DPAs, GDPR/CCPA clauses, IP licensing, indemnity structures, limitation-of-liability frameworks, order forms, SOWs, and contract negotiation playbooks
  • Experience preparing or reviewing redlines, contract summaries, obligation extracts, playbook positions, clause taxonomies, or CLM records
  • Familiarity with contract lifecycle management systems, legal intake workflows, contract abstraction, obligation management, or post-signature contract administration
  • Strong attention to detail in clause-heavy, negotiation-heavy, and documentation-based legal work
