What is a broker dealer?

Broker dealers are individuals or firms that are in the business of buying and selling securities on behalf of clients (as brokers) and for their own accounts (as dealers). They play a key role in financial markets by facilitating trades, providing liquidity, and sometimes offering investment advice. Broker dealers must register with regulatory authorities like the SEC and FINRA in the United States, and they are subject to strict rules to protect investors. They can work with individual investors, institutional clients, or both, depending on their business model.

What are the most common challenges faced by broker dealers when managing client relationships?

Broker dealers often face the challenge of balancing regulatory compliance with providing tailored investment advice to clients. Maintaining transparent communication, addressing clients’ evolving financial needs, and staying updated on changing market conditions are crucial aspects of the role. Additionally, broker dealers must ensure all recommendations and transactions align with both the client’s objectives and strict industry regulations, which can be demanding in a fast-paced environment. Building trust and long-term relationships requires ongoing education, responsiveness, and adaptability.

What are the key skills and qualifications needed to thrive as a broker dealer, and why are they important?

To thrive as a Broker Dealer, a strong background in finance, securities regulations, and market analysis is essential, typically supported by a relevant degree and FINRA licenses (such as Series 7 and 63). Familiarity with trading platforms, risk management software, and compliance systems is crucial for daily operations and regulatory adherence. Exceptional communication, ethical judgment, and client relationship management skills help professionals excel in this role. These competencies ensure legal compliance, effective client service, and successful navigation of complex financial markets.

What is the difference between Broker Dealer vs Registered Representative?

AspectBroker DealerRegistered Representative
CredentialsRegistered with FINRA, often holds Series 7 and Series 63 licensesRequires Series 7, Series 63, and registration with a Broker Dealer
Work EnvironmentOperates within a brokerage firm, handling client transactions and salesWorks under a Broker Dealer, directly engaging with clients to sell securities
Industry UsageLegal entity that facilitates securities transactionsIndividual sales professional working for a Broker Dealer

The main difference is that a Broker Dealer is a firm authorized to buy and sell securities, while a Registered Representative is an individual working for that firm, engaging in client sales and transactions. Both roles require similar licenses and operate within the same industry environment, but one is the company, and the other is the individual representing it.

How long does it take to become a broker-dealer?

Becoming a broker-dealer involves establishing a firm that is registered with the SEC and FINRA, which typically requires passing the Series 7 and Series 24 exams. The process can take several months to a year, depending on preparation time, licensing requirements, and regulatory approval. Additionally, individuals must meet certain experience and background standards before registration is approved.

Is being a broker dealer a high paying job?

A broker-dealer is a firm that buys and sells securities on behalf of clients and earns commissions or fees. Compensation for individuals working in broker-dealer firms varies based on experience, performance, and the specific role, with many earning above-average salaries in the financial industry. Successful brokers often have strong sales skills, industry certifications, and a thorough understanding of financial markets.

What does a broker dealer do?

A broker dealer is a financial firm or individual that buys and sells securities on behalf of clients or for their own account. The CCO will work closely with senior management, legal, trading, operations, portfolio management, and the affiliated investment advisory compliance team to ensure compliance with applicable SEC, FINRA, state, and other regulatory requirements.

This is a lean compliance team, making this an excellent opportunity for someone who wants meaningful ownership and visibility across the business. The firm is also open to a strong #2 to a Broker-Dealer CCO who is ready to step into the top compliance role.

Key Responsibilities

  • Own and administer the broker-dealer compliance program, including policies, procedures, controls, testing, monitoring, and employee training.
  • Develop and maintain Written Supervisory Procedures (WSPs) and other compliance policies based on regulatory requirements, industry practices, and internal controls.
  • Provide oversight of trading-related compliance activities across equities, fixed income, foreign exchange, and derivative products.
  • Monitor trading activity and supervise compliance with Best Execution and other applicable trading requirements.
  • Partner closely with portfolio managers and trading professionals and understand the full trade lifecycle and flow of activity.
  • Conduct daily, weekly, monthly, and quarterly compliance reviews, including securities transaction reviews.
  • Lead and manage FINRA and SEC examinations, regulatory inquiries, audits, and other regulatory reviews.
  • Oversee AML, KYC, and Customer Identification Program (CIP) requirements.
  • Provide compliance approval for new accounts and client onboarding.
  • Conduct and oversee client and product due diligence.
  • Develop and implement risk assessments, internal audits, automated surveillance, and compliance monitoring programs.
  • Advise senior management and employees on applicable securities laws, regulations, and firm policies.
  • Monitor regulatory developments and proactively assess their impact on the business.
  • Work closely with legal and regulatory teams on emerging requirements, regulatory matters, litigation, and arbitration.
  • Develop, implement, and monitor supervisory procedures relating to sales, trading, operations, custody, and securities activities.
  • Prepare clear and professional correspondence, policies, procedures, and other documentation for regulators, auditors, and internal stakeholders.
  • Serve as a key liaison between business leadership, legal counsel, compliance, and regulators.
  • Promote a strong culture of compliance throughout the organization.

Required Experience & Qualifications

  • 2–3+ years of experience serving as a Chief Compliance Officer of a FINRA-registered broker-dealer, or substantial experience as a senior broker-dealer compliance professional ready to step into the CCO role.
  • 7–10+ years of overall securities compliance and/or securities-related legal experience.
  • Current Series 7 and Series 24 licenses required.
  • Series 53 preferred and expected to be obtained within approximately 12–14 months if applicable.
  • Strong knowledge of FINRA, SEC, and state securities rules and regulations.
  • Demonstrated experience managing FINRA examinations and regulatory inquiries.
  • Strong experience with trading oversight, particularly across equities, fixed income, FX, and derivatives.
  • Understanding of institutional trading environments and interaction with portfolio managers.
  • Strong knowledge of Best Execution, trade surveillance, AML, KYC, CIP, licensing, registration, and WSP requirements.
  • Bachelor’s degree required; J.D. is a plus.

Ideal Candidate

The ideal candidate is an experienced broker-dealer compliance professional who is comfortable operating in a lean, hands-on environment and taking ownership of the entire compliance function.

The organization is particularly interested in someone who:

  • Has direct broker-dealer CCO experience or is a strong #2 ready to take the next step.
  • Has substantial trading oversight experience.
  • Understands how trading activity flows from portfolio management through execution and operations.
  • Has experience working directly with regulators and managing FINRA examinations.
  • Is highly organized and capable of managing competing priorities and regulatory deadlines.
  • Demonstrates sound judgment and the ability to independently identify and resolve compliance issues.
  • Communicates effectively with senior management, portfolio managers, traders, legal professionals, regulators, and auditors.
  • Builds strong relationships while maintaining appropriate independence and regulatory judgment.
  • Is a self-starter with strong analytical, organizational, and problem-solving skills.
  • Has demonstrated stability and a history of meaningful tenure in prior roles.

Compensation & Benefits

  • Base Salary: Approximately $200,000–$250,000, with flexibility for an exceptional candidate.
  • Bonus: Discretionary annual cash bonus with a potential range of 0–55% based on individual and company performance.
  • Bonus compensation is cash-based with no deferred component.
  • The firm may consider additional compensation arrangements, including sign-on compensation, bonus buyouts, minimum guarantees, or arrangements related to outstanding equity compensation, depending on the candidate's circumstances.
  • Compensation may be adjusted for an exceptional candidate with the appropriate experience and qualifications.

Work Environment

  • Four days per week in the office, with flexibility around which day is remote.
  • Friday is commonly used as the remote day.
  • Approximately three weeks of remote work per year may be available.
  • Initial interviews will be conducted virtually.

Additional Notes

  • The organization operates multiple broker-dealer entities.
  • The role became available following the departure of the previous CCO, who left on positive terms to pursue an opportunity in the digital assets/tokenization space.
  • The organization is undergoing an ownership transition; the transition is not expected to materially impact this position.
  • The organization values stability and is particularly interested in candidates who demonstrate long-term commitment rather than frequent job changes.
  • The hiring process can move quickly, with the ability to make a decision within approximately 10 days for the right candidate.
