Job Description
Scope of Work:
The Attorney will provide legal counsel to the acquired businesses in the areas of corporate governance, commercial contracting, regulatory compliance, and general corporate matters.
Deliverables and Services:
  • Drafts, reviews, negotiates, and advises on internal governance documents, corporate resolutions, and other legal documents related to day-to-day operations and commercial transactions.
  • Develops and maintains legal templates, playbooks, and best practices to support acquisition workflows
  • Provides legal oversight on integration activities, including commercial terms and operational harmonization
  • Negotiates with existing, new and renewing customers.
  • Has a deep understanding of the technology space and is able to close deals with limited supervision.
  • Drafts and reviews legal correspondence, memoranda, and opinions as needed
  • Advises and collaborates with Finance, Tax and Mergers and Acquisitions team on legal matters arising from corporate transactions
  • Manages and oversees due diligence documentation and closing records for acquisitions
  • Oversees maintenance and accuracy of corporate record books and entity management systems
  • Establishes and maintains legal filing systems and document retention protocols
  • Performs other legal projects or duties as assigned, including cross-functional matters involving finance and accounting

Qualifications

  • Must be highly detail-oriented with the ability to independently analyze and draft complex legal documents

Education/Experience:
  • Juris Doctor (J.D.) from an ABA-accredited law school
  • Active bar admission in at least one U.S. jurisdiction
  • 3 or more years of relevant legal experience in corporate law, M&A, or governance
