Job description

We are seeking an experienced Contract Attorney to support our growing software business by drafting, reviewing, negotiating, and managing commercial agreements with prospective and existing customers. This role will work closely with our Sales, Customer Success, Finance, and Executive teams to facilitate timely contract execution while protecting the company's legal and business interests.

The ideal candidate has experience negotiating SaaS agreements, understands enterprise software transactions, and is comfortable balancing legal risk with practical business objectives.

Key Responsibilities

  • Draft, review, and negotiate a wide variety of commercial agreements
  • Partner with Sales and Customer Success teams to negotiate customer agreements while helping move deals efficiently toward execution.
  • Provide practical, business-oriented legal advice on contract terms, risk allocation, compliance, and commercial issues.
  • Identify legal and operational risks and recommend appropriate solutions that support business objectives.
  • Maintain and improve standard contract templates, fallback language, and negotiation playbooks.
  • Assist with customer and vendor contract management as needed.
  • Support due diligence efforts with prospects and clients.
  • Support other commercial legal matters as assigned.

Required Qualifications

  • Juris Doctor (J.D.) from an accredited law school.
  • Licensed to practice law in at least one U.S. jurisdiction and in good standing.
  • 2–5 years of experience practicing commercial contract law.
  • Demonstrated experience drafting and negotiating SaaS or enterprise software agreements.
  • Strong understanding of commercial contracting principles and risk management.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple priorities and meet deadlines in a fast-paced environment.
  • Strong business judgment and collaborative approach.

Preferred Qualifications

  • Familiarity with privacy and data security provisions, including HIPAA, GDPR and other data protection requirements.
  • Experience working with enterprise customers and complex commercial negotiations.
  • Experience with intellectual property issues for SaaS companies, including protection of IP, patent, and trademark matters.
  • Experience working in the healthcare sector.
