Overview

Legal Counsel - Remote

Job Summary

The Legal Counsel provides legal support on a wide range of corporate legal matters. This includes crafting, reviewing, and negotiating a variety of client and vendor agreements, providing legal advice to stakeholders, and implementing corporate governance policies.  Legal Counsel will partner with business leaders on contracting, regulatory matters, and other legal needs in a growing, entrepreneurial healthcare business, translating legal jargon into practical, actionable advice.  Legal Counsel will leverage general health care law experiences and knowledge to support the business leaders with issue evaluation, contracting, proposing solutions, and more.  Legal Counsel will join a collaborative, well-aligned team dedicated to serving the safety net providers across the country. Legal Counsel participates in and provides input on business strategy and legal risks and partners with the rest of the Legal and Compliance team.

Legal Counsel works directly with cross-functional business leaders on compliance, contracting, regulatory matters, and growth initiatives that support healthcare access. The anticipated starting base salary range for this position is $200k-$225k + 10% bonus target  Actual compensation will be determined based on experience, qualifications, geographic location, and other job-related factors. This range reflects our good-faith estimate of what we expect to pay for this role at the time of posting.

Responsibilities

ESSENTIAL FUNCTIONS (These duties must be performed with or without reasonable accommodation.  This document in no way states or implies that these are the only duties to be performed by the employee occupying this position):

  • Provide accurate and timely legal counsel to stakeholders on a wide range of legal topics, including contractual matters, regulatory compliance, and risk management.
  • Define and implement internal governance policies to ensure the company's processes and practices are in full compliance with relevant laws and regulations
  • Create, review, and negotiate various legal documents, such as agreements, terms & conditions, privacy policies, and other contractual arrangements
  • Ensure that all business contracts and agreements are in compliance with applicable laws, protecting the company's interests, and minimizing legal risks.
  • Manage disputes, pre-litigation, and litigation matters, and develop effective strategies to resolve legal issues and protect the company's rights
  • Liaise with and supervise external counsel for outsourced legal matters, ensuring efficient and cost-effective legal representation when required
  • Provide precise legal guidance on issues that impact the organization, and collaborate with third parties, including regulators and external counsel, as needed.
  • Offer legal expertise in matters related to regulatory compliance, data protection, intellectual property, employment law, and other relevant areas.
  • Advise and counsel the company's senior management on the legal implications of strategic decisions and business activities.
  • Handle fast paced and high-volume workload.
  • Identify legal and compliance issues and business risks and offer effective solutions tailored to the situations. Identify and escalate to other leaders and GC as appropriate.
  • Project management of key projects as needed.
  • Effectively communicate with all levels across VytlOne business entities.
  • Demonstrate and apply knowledge of general commercial and healthcare law (such as HIPAA, Anti-Kickback, False Claims Act, state regulations, etc.) plus pharmacy-related experience to effectively support business unit operations.
  • Identify opportunities for process improvements and efficiencies.
  • Work under the lead of Associate General Counsel and exercise sound judgment. 
  • Promptly report any allegations of impropriety to the Compliance Department.
  • Comply with Ethical Business Conduct policy and Compliance Program.
  • Remain free from exclusion under the OIG and SAMS Medicare/Medicaid lists.
  • Complete required training, as assigned, within the established timeframes.
  • Must be able to cope with the mental and emotional stress of the position.
  • Maintain regular attendance in accordance with established policies.
  • Perform other job-related duties as assigned.
  • Qualifications

    Education: Juris Doctor (JD) degree from an accredited law school and active Bar license

    Experience: 5+ years' experience as a healthcare attorney with demonstrated excellent working knowledge and primary focus in healthcare, plus experience with internal investigations; experience with privacy law and HIPAA required; 340B drug discount program experience and/or pharmacy law experience a major plus; in-house legal experience is also highly valued; candidates without in-house experience should be prepared to speak to experience providing direct counsel to business clients and translating laws and regulations into practical action
