Job description

Direct Counsel is seeking a Securities Litigation Associate to join a premier Securities Enforcement and Regulatory Litigation practice in Palo Alto. This is an exceptional opportunity for an attorney looking to work on sophisticated securities enforcement matters, regulatory investigations, and compliance issues for leading public companies, financial institutions, and executives.

The ideal candidate will have experience handling securities-related investigations and enforcement matters and a strong interest in advising clients through complex regulatory and litigation challenges.

Responsibilities
  • Represent clients in securities enforcement and regulatory matters
  • Advise public companies, financial institutions, executives, and boards on:
    • Securities enforcement actions
    • Regulatory investigations
    • Compliance matters
    • Government inquiries
  • Conduct legal research and prepare strategic analyses on complex securities law issues
  • Draft:
    • Motions
    • Briefs
    • Legal memoranda
    • Investigative submissions
    • Regulatory responses
  • Assist clients in responding to investigations and enforcement proceedings
  • Conduct witness interviews, factual investigations, and case assessments
  • Coordinate with regulators, clients, and internal legal teams
  • Participate in all phases of investigations, enforcement actions, and related litigation
Qualifications
  • J.D. from an accredited law school
  • Law school class years 2018–2022
  • Experience in:
    • Securities enforcement
    • Regulatory investigations
    • Compliance matters
  • Strong understanding of securities laws and regulatory frameworks
  • Excellent legal research, writing, and analytical skills
  • Outstanding oral communication and advocacy abilities
  • Ability to manage sophisticated matters in a fast-paced environment
