Technology Transactions Associate Attorney

Salary: $235,000–$310,000

Direct Counsel is seeking a Technology Transactions Associate Attorney to join a leading Am Law firm's nationally recognized Technology Companies Group. This opportunity is ideal for an associate with 2–4 years of experienceadvising technology and life sciences companies on intellectual property and commercial transactions. The successful candidate will work with innovative startups, venture-backed companies, and established technology businesses on strategic transactions spanning the entire business lifecycle.

Responsibilities
  • Draft, review, and negotiate a wide range of commercial agreements, including licensing, collaboration, development, partnering, technology transfer, SaaS, cloud services, and other technology-related agreements.
  • Advise emerging companies, venture capital-backed businesses, and established technology companies on intellectual property and commercial transaction matters.
  • Counsel clients on technology strategy, product development, commercialization, and market positioning.
  • Support corporate partnerships, strategic alliances, and licensing arrangements across the life sciences and technology sectors.
  • Advise clients on intellectual property and technology issues arising in mergers and acquisitions, venture capital financings, public offerings, and other corporate transactions.
  • Conduct legal research and provide strategic guidance involving emerging technologies, including artificial intelligence (AI), fintech, autonomous vehicles, edtech, renewable energy, cybersecurity, augmented and virtual reality (AR/VR), biotechnology, and digital health.
  • Collaborate closely with corporate, intellectual property, and venture capital attorneys on sophisticated transactional matters.
Qualifications
  • J.D. from an accredited law school.
  • Active bar admission in the jurisdiction where the attorney will practice.
  • 2–4 years of experience in intellectual property and technology transactions.
  • Experience drafting and negotiating commercial technology agreements.
  • Strong interest in supporting M&A transactions, venture capital financings, and emerging growth companies.
  • Excellent legal research, drafting, analytical, and negotiation skills.
  • Outstanding written and verbal communication abilities.
  • Ability to manage multiple complex matters in a fast-paced, collaborative environment.
  • Interest in advising innovative companies operating in cutting-edge technology and life sciences industries.
